THIS INDENTURE WITNESSETH, That JEC Partnership II, LLC, an Indiana limited
liability company ("Grantor"), BARGAINS, SELLS, SPECIALLY WARRANTS AND
CONVEYS to the City of Carmel, Indiana ("Grantee"), for the sum of Ten Dollars ($10.00) and
other valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
following described real estate located in Hamilton County, State of Indiana:
See attached legal description
Subject to:
1. Consent to Encroach between JEC Partnership, L.P., an Indiana limited partnership
and the City of Carmel, Hamilton County, Indiana, dated September 21, 2011, and
recorded October 3, 2011,as Instrument No. 2011048940 in the Office of Recorder
of Hamilton County,Indiana; and
2. Sewer Easement granted to Clay Township Regional Waste District, a regional
sewer district, dated February 5, 1996, recorded on February 8, 1996, as Instrument
No. 9609605543 in the Office of Recorder of Hamilton County,Indiana; and
3. Amendment to said Sewer Easement recorded October 3, 2011 as Instrument No.
2011048941 in the Office of Recorder of Hamilton County,Indiana; and
4. The lien for real property taxes not delinquent; and
5, All matters of record; and
6. Such matters as would be disclosed by an accurate survey and inspection of the real
_. estate.
The undersigned person executing this deed on behalf of Grantor represents and certifies
that he/she has been fully empowered, by proper action of the governing body of Grantor, to
execute and deliver this deed; that Grantor has full capacity to convey the real estate described
herein; and that all necessary action for the making of such conveyance has been taken and done.

And the Grantor, for itself and its successors and assigns, covenants with Grantee, and its
successors and assigns,that the real estate hereby conveyed are free from all encumbrances made
or suffered by Grantor, except as aforesaid, and that Grantor will, and that its successors and
assigns shall, warrant and defend the same to the said Grantee and its successors and assigns
against the lawful claims and demands of all persons claiming by,through or under Grantor, but
against none other.

County,Indiana, described as follows: Beginning at the southeast corner of the West Half of said
