CONCERNING NON-APPLICABILITY OF
INDIANA RESPONSIBLE PROPERTY TRANSFER LAW

Marshall E. Andich (the"Transferor"), states that: (a)Transferor is the owner of certain real
estate in Hamilton County,Indiana,more particularly described in Exhibit A,attached hereto and incorporated
herein by reference (the "Real Estate"); and (b) the Real Estate:
(i) contains no facilities that are subject to reporting under Section 312 of the federal
Emergency Planning and Community Right-to-Know Act of 1986 (42 U.S.C. §11022);
(ii) is not the site of any underground storage tanks for which notification is required
under 42 U.S.C. §6991a and Ind. Code §13-23-1-2 (c)(8);
(iii) is not listed on the Comprehensive Environmental Response, Compensation, and
Liability Information System in accordance with Section 116 of the Comprehensive
Environmental Response, Compensation, and Liability Act (42 U.S.C. §9616); and
(iv) consequently is not "property" under, and is not subject to, the provisions of the
Indiana Responsible Property Transfer Law (Ind. Code §13-25-3-1, et seq.).
Transferor shall indemnify and hold harmless The City of Carmel Redevelopment
Commission from and against any and all claims, damages, losses, and expenses (including, without
limitation, attorneys'fees) arising from or connected with any misrepresentation contained herein.
Transferor is authorized to execute and deliver this Affidavit.

per plat thereof recorded in Deed Record "E", page 512, in the Office of the Recorder of
Hamilton county, Indiana, more particularly described as follows: Beginning at the Southwest
corner of said Lot 5; thence North on and along West line of said Lot 5, a distance of 36.0 feet;
thence East parallel with South line of said lot 102 feet; thence South parallel with the West line
of said lots 38.0 feet;thence East parallel with said South line a distance of 25 feet; thence North
2 feet to the North line of said Lot 6; thence East 38 feet to the East line of said lot 6; thence
South on said East line 7 feet; thence West parallel to said North line of lot 6, 165 feet to the
West line of said lot; thence North on said West line 7 feet to the place of beginning.
