Worthley Re: Phase I Environmental Site Assessment Merrill Property Carmel, Indiana ESA,LLC Proposal#0613-2229 Mr. Worthley, Environmental Service Associates,LLC (ESA,LLC) is pleased to provide you with this proposal for performing a Phase I Environmental Site Assessment (ESA) at the above referenced subject site. This ESA will be limited to a walk-through site reconnaissance, interviews with applicable personnel, and a records review of state and local environmental and historical files that are available. The purpose of the investigation is to determine if there are recognized environmental conditions associated with the site based on procedures described in this proposal. The scope of this study is in general accordance with the Standard Practice for Phase I ESA as established by ASTM designation El 527-05. It should be noted that the United States Environmental Protection Agency (US EPA) has reviewed the ASTM E 1527-05 Standard and has determined that it meets the minimum requirements of the US EPA All Appropriate Inquiry(AAI)rule. AAI was enacted by US EPA for Brownfield development and Innocent Landowner purposes. The client is responsible to notify ESA, LLC prior to on-site activities of any special conditions or specific requirements that may be needed. This includes requirements established by financial institutions or other appropriate entities with regard to real estate property or other direct involvement. Proposed Environmental Site Assessment Program: Site Reconnaissance An ESA, LLC Environmental Professional (EP) will perform a walking survey of the property. The purpose of the walking survey is for the Environmental Professional to visually and physically observe the study site property and any structures located on the study site to the extent not obstructed by bodies of water,adjacent buildings, or other obstacles in an attempt to visually identify evidence of potential recognized environmental conditions at the site. The EP will note topographic features and physical characteristics of the site such as surficial soil characteristics, buildings and structures and the general layout of the site. Particular emphasis will be placed on identifying areas of past or present hazardous materials usage or storage. This includes inspection for possible underground storage tanks (USTs); aboveground storage tanks (ASTs) and other containers such as drums. Visual inspection of the site will also attempt to identify areas of past dumping or disposal of debris, areas showing evidence of stains or vegetative stress, and assess the condition of on-site electrical transfonners and equipment. Please note, no sampling or testing will be conducted as part of this study. The EP will conduct a visual reconnaissance of surrounding properties in an effort to identify current and past uses of adjoining properties. The EP will note facilities that may use hazardous materials or have USTs. However, ESA, LLC's EP will not enter any surrounding properties, and no walking surveys will be made of surrounding properties. 234 WEST MAIN STREET CARMEL, IN 45032 4- 1411014E 317.n44.7100 FAx 317,844 71 1 1 $ WWW.ESALLC COM Records Review The purpose of the records review is to obtain and review readily available records that will help identify recognized environmental conditions in connection with the study site. In order to review federal, state and local records, an environmental records search firm will be used to provide public database files. It must be noted here that the degree of completeness and availability of files located at state and local agencies varies based on numerous factors up to and including the status of enforcement procedures being conducted by various agencies. Plans and drawings of the site including "as-built drawings", if available, and provided to ESA, LLC by the client will be studied to determine the historical use of any structures on the project sites. Based on availability, historical aerial photographs, city directories and Sanborn Fire Insurance Maps will be the only historical sources reviewed to develop a history of the previous uses of the study site and adjoining areas. The ESA, LLC EP will review a combination of available historical aerial photographs,city directories and Sanborn Fire Insurance Maps in an effort to identify the study site's first developed use, or use back to 1940, whichever is earlier. ESA,LLC does not warrant that we will review all available or reasonably ascertainable standard historical sources. In general accordance with ASTME 1527-05 in order to review federal, state and local records, a third party environmental records search firm will be utilized to provide public state and federal environmental database files and records Title Records Review The Standard Practice for Phase I ESA as established by ASTM designation E1527-05 indicates that it is the user's responsibility to engage a title company or other relevant professional to review recorded land title and lien records for Environmental Liens and Activity and Use Limitations (AULs) associated rc/ the subject property. Any environmental liens or AULs identified should be reported to the EP conducting the Phase I ESA. ESA, LLC will not perform a search for recorded land title and lien records for Environmental Liens and Activity and Use Limitations (AULs) as part of this ESA. Prior Tenant Searches It should be known that ESA, LLC cannot and will not perform prior tenant searches on any property with multiple tenants. ESA, LLC will review current tenant business practices,and we will perform a review of available city directories in an attempt to identify past tenant uses of a property. If a more detailed tenant review is required please inform ESA, LLC of this requirement in writing before the acceptance of the proposal by the client. Interviews The Standard Practice for Phase I ESA as established by ASTM designation E 1527-05 requires to the extent possible that the EP interview: a) Current owner/occupants;b)User; c) Key Site Manager; d) Past facility managers,and past owners, operators, or occupants; e) Owners or occupants of neighboring/nearby properties (when the subject property is "abandoned" and there is evidence of potential unauthorized uses or uncontrolled access); and f) state and local government officials. Reports Following completion of the activities, three (3) written report copies will be prepared and submitted to the client for the assessed site The report will describe and document the activities performed during the investigation. Based on the findings of our research, the report will include discussion of the results and conclusions. Non-Scope Considerations Certain construction materials such as ceiling and floor tile have potential to be asbestos containing materials (ACvls). ESA,LLC will visually inspect the site in an attempt to visually note potential suspect asbestos containing materials. The Residential Lead-Based Paints Hazard Reduction Act of 1992 (Title X) became effective on September 6, 1996 for multi-family residential properties(greater than 4 units). Lead-based paint will not be investigated as part of the scope of this study unless specifically requested by the client. It is not the intent of this study to conduct a wetland resource evaluation. No delineation of wetland resource areas or recommendations concerning wetlands will be made as part of this study unless the client requests specific arrangements. Client Responsibilities It is the responsibility of the client and authorized agents of the client to provide ESA. LLC with all available information pertaining to environmental and historical records concerning the project site. In order to conduct a complete and thorough investigation, the following information should be supplied to ESA, LLC prior to the initiation of on-site activities. An accurate plot map or legal description of the site and all "as-built drawings" pertaining to existing structures at the site. All information regarding potential environmental concerns, previous environmental studies at the site and historical background including regulatory deficiencies and violations. If the site is occupied or fenced, a site contact (name and telephone number) for the purpose of scheduling on-site visits. Names and telephone numbers of available individuals with knowledge of past or present site activities. According to The Standard Practice for Phase i ESA as established by ASTM designation E1527-05, indicates that the user "should either (1) engage a title company or title professional to undertake a review of reasonably ascertainable recorded land title records and lien records for environmental liens or activity and use limitations currently recorded against or relating to the property, or (2) negotiate such an engagement of a title company or title professional as an addition to the scope of work performed by the environmental professional" Reliance This proposal is for services intended for the exclusive use of ESA,LLC's client. ESA,LLC's reports resulting from this proposed assessment would therefore contain the following paragraph: "This assessment was performed on behalf of and solely for the exclusive use of the client. No other company,entity or person shall have any rights with regard to ESA, LLC's contract with the above client,including but not limited to indemnification by ESA, LLC,or any right of reliance on the findings,conclusions and recommendations of this or any subsequent reports regarding the referenced site." In the event the client requests additional entities to rely on the Phase I ESA report, ESA, LLC will provide specific language identifying the extent to which certain individuals or entities may rely on the findings of this investigation. Any use or reliance shall he in accordance with the terms and conditions of the original contract with the client. An additional fee of$ 250.00 will be assessed for each entity for which reliance is requested. Costs and Schedule: The cost of the Environmental Site Assessment (ESA) will be a total lump sum of $ 1,675.00, unless unexpected conditions are encountered or the project characteristics are changed significantly. The cost estimate will not be exceeded without prior approval from you. If any changes in the program are indicated by the initial activities, we will consult with you and with your approval, make such changes as are considered necessary. ESA, LLC will submit one digital pdf copy of our report. Any extra hard copies will be billed at $ 50.00 per copy. Please acknowledge the terms of our proposal by signing, dating, and returning the Proposal Acceptance Sheet included in this proposal. Upon our receipt of the Proposal Acceptance Sheet, ESA,LLC will schedule and complete the ESA. The balance will be due upon completion of the report. This proposal and any associated terms and conditions are considered to be valid for a period of sixty(60)days from the date above. The scope of work performed and report will be in general accordance with ASTM E 1527-05 standards. Our professional services will be performed, our findings obtained and our recommendations prepared in accordance with customary principles and practices in the fields of environmental science and engineering. This report is a confidential document that cannot be relied upon by other parties without ESA,LLC's expressed written consent.
