Dear Mr. Frankenberger:
This letter pertains to the real estate made the subject of the following 4 developments located in The
Legacy in Carmel:
1. Approximately 7 acres of real estate made the subject of the DP /ADLS approval of the
Legacy Towns and Flats Phase II identified by Plan Commission Docket Number 13010010
( "Parcel 1 ");
2. Approximately 17 acres of real estate made the subject of the DP /ADLS approval of the
Harvest Bible Chapel identified by the Plan Commission Docket Number 13040011 ( "Parcel
2");
3. Approximately 1.6 acres of real estate made the subject of the DP /ADLS request for the
Rickers' Gas Station pending under Plan Commission Docket Number 13050012 ( "Parcel 3 "),
and;
4. Approximately 5.4 acres of real estate made the subject of the DP /ADLS request for the
River Road Shops pending under Plan Commission Docket Number 13060023 ( "Parcel 4 ").
Falcon Nest 2, LLC, the owner of The Legacy, is in the process of completing the master drainage
infrastructure for The Legacy and of obtaining and utilizing TIF proceeds to fund improvements to
contiguous segments of River Road to conform to the City of Carmel Thoroughfare Plan. In the interim,
the following assurances have been requested with respect to Parcel 1, Parcel 2, Parcel 3 and Parcel 4.
To this end, this letter confirms the following:
1. The purchasers of Parcel 2, Parcel 3 and Parcel 4 will not be required to make road
improvements to contiguous segments of River Road to bring River Road into compliance
with Carmel's Thoroughfare Plan, nor will they be financially liable for such road
improvements; provided, however, that until River Road is reconstructed, some temporary
improvements, consisting of entrances and corresponding accel and decel lanes, may be
required with respect to Parcel 2, Parcel 3 and Parcel 4.
2. Building permits for construction and development of Parcel 2, Parcel 3 and Parcel 4 will not
be conditioned upon or withheld pending completion of the road improvements described
in paragraph 1 above; provided, however, that until River Road is reconstructed, some

temporary improvements, consisting of entrances and corresponding accel and decel lanes,
may be required with respect to Parcel 2, Parcel 3 and Parcel 4.
3. Building permits for construction and development of the Parcel 1, Parcel 2, Parcel 3 and
Parcel 4 will not be conditioned upon or withheld pending completion of drainage
improvements; provided, however, that the master drainage infrastructure of The Legacy
must be substantially completed before any certificates of occupancy will be issued for any
structures on Parcel 1, Parcel 2, Parcel 3 or Parcel 4,
