HomeMy WebLinkAboutCC-12-19-13-01 Purchase Radio Equipment Interlocal Agreement/HC and City Sponsor: Councilors Sharp Rider Carter Snyder and Finkam RESOLUTION CC-12-19-13-01 (FORMERLY CC-12-16-13-01) A RESOLUTION OF THE COMMON COUNCIL OF THE CITY OF CARMEL APPROVING AND ADOPTING AN INTERLOCAL AGREEMENT WHEREAS, Hamilton County("the County") has entered into a Contract to purchase the basic infrastructure for the P25 radio system ("the System") to serve the public safety entities within Hamilton County at a cost of over Nine Million Six Hundred Thousand Dollars ($9,600,000); and, WHEREAS, it is necessary for the public service agencies within the County("the Users") to acquire individual radios and other related equipment("the Radio Equipment") to be used as part of the System; and, WHEREAS, the County has negotiated purchase prices for the Radio Equipment from Motorola Solutions, Inc., ("Motorola") which are substantially below QPA prices; and, WHEREAS, the County has received quotes to finance most of the Radio Equipment being acquired by the Users through a standard municipal lease ("the Master Lease") for a period of eight (8) years, with twenty-eight (28) equal quarterly payments beginning on March 30, 2015, and payable on or before the 30th day of March, the 30th day of June, the 30th day of September, and the 30th day of December of each year; and, WHEREAS, the City of Carmel ("the City") and the County are desirous of entering into an Interlocal Agreement for the City to authorize the County to purchase certain radio equipment to be used by the City pursuant to an Interlocal Agreement, which is attached hereto. The Interlocal Agreement between the County and the City concerning the purchase and lease of certain radio equipment to be used by the City's Police and Fire Departments is hereby ratified and approved. 2. Upon signature of the Interlocal Agreement by all parties, the Hamilton County Auditor is requested to record a copy of the Interlocal Agreement with the Hamilton County Recorder and forward a copy to the State Board of Accounts within the time periods established by Indiana Code 36-1-7-6. 3. INTERLOCAL AGREEMENT TO ACQUIRE RADIO EQUIPMENT This Interlocal Agreement entered into between Hamilton County, Indiana ("the 14 iNol County") and the City of Carmel ("Carmel"). \�� WITNESS THAT: WHEREAS, the County has entered into a Contract to purchase the basic infrastructure for the P25 radio system ("the System") to serve the public safety entities within Hamilton County at a cost of over Nine Million Six Hundred Thousand Dollars ($9,600,000); and, WHEREAS, it is necessary for the public service agencies within the County ("the Users") to acquire individual radios and other related equipment("the Radio Equipment") to be used as part of the System; and, WHEREAS, the County has negotiated purchase prices for the Radio Equipment from MotorolasSolutions, Inc., ("Motorola") which are substantially below QPA prices; and, WHEREAS, the County has received quotes to finance most of the Radio Equipment being acquired by the Users through a standard municipal lease ("the Master Lease") for a period of eight (8) years, with twenty-eight(28) equal quarterly payments beginning on March 30, 2015, and payable on or before the 30`h day of March, the 301-11 day of June, the 30`h day of September, and the 30`h day of December of each year; and, WHEREAS, the Hamilton County Council has passed a Resolution pledging the County's share of the County Option Income Tax, as security for the Master Lease, subject to the Users of the Radio Equipment entering into an Interlocal Agreement to either purchase the User's Radio Equipment or pay part of the Lease payments on the Master Lease; and, WHEREAS, Carmel desires to purchase Radio Equipment at a price of One Million Seventy-one Thousand Fifty-two Dollars ($1,071,052) ("the Carmel Radio Equipment") for its Police and Fire Departments as highlighted on Exhibit A; and, WHEREAS, it is anticipated that the equipment purchased through the Master Lease will be at a total cost of Four Million Ninety Thousand Nine Hundred Twenty-three Dollars ($4,090,923), and; WHEREAS, the Users anticipate a savings by leasing the Radio Equipment through the Master Lease; and, IT IS THEREBY AGREED by and between the County and Carmel as follows: 1. The County agrees to purchase the Carmel Radio Equipment listed for Carmel Fire and Carmel Police at a cost of One Million Seventy-one Thousand Fifty-two Dollars ($1,071,052), as shown on Exhibit A. 2. After verification of receipt of all Radio Equipment purchased from Motorola, the County shall transfer possession of the Carmel Radio Equipment to Carmel to be used during the testing, training, and implementation of the P25 System. 3. As authorized by the County's Agreements with Motorola, all warranties concerning the Carmel Radio Equipment, including software and replacement Radio Equipment, are hereby assigned to Carmel. The County shall provide copies of the Warranty Agreements with Motorola to Carmel upon request. 4. Carmel agrees to pay the County its proportionate share of the Master Lease payments in twenty-eight (28) quarterly payments over seven (7) years as defined above, which payments shall be equal to the cost of Carmel Radio Equipment; divided by the cost of all Radio Equipment purchased under the Master Lease; times the quarterly Master Lease payment. The payments shall be payable, without demand on March 1st, June 1st, September 1st, and December 1st,beginning in 2015 and ending in 2021. 5. Carmel agrees to use its best efforts to budget and appropriate the quarterly payments in 2015-2021. Carmel acknowledges that its possession and use of the Radio Equipment is subject to the terms of the Master Lease and upon the failure to make the payments,its possession and use of the Radio Equipment may be terminated by the County. Upon final payment of the quarterly payments set out above, Carmel shall have all right, title, and interest in the Carmel Radio Equipment. 6. If there are disputes arising under this Agreement, the disputes shall initially be discussed in a settlement conference to be held among the following: one (1) member of the Carmel Common Council appointed by the Council; the Police Chief or his designee; a member of the County Board of Commissioners; and the Director of the Hamilton County Communication Department or his designee. If there is no resolution of the dispute at the settlement conference, the dispute shall be submitted to mediation,pursuant to the Rules of Alternative Dispute Resolution prior to initiating litigation. In the event that the parties cannot agree on an acceptable mediator, a mediator shall be appointed by the Judge of the Circuit Court of Hamilton County.
