AMENDMENT TO
AGREEMENT FOR PURCHASE OF GOODS AND SERVICES
THIS AMENDMENT TO THE GOODS AND SERVICES AGREEMENT ( "Agreement ")
entered into by and between the City of Carmel and thc Gordon Flesch Company (the "Vendor "), on
,August 20, 2014 shall amend thelecins of the Agreement by:
Amending paragraph 19.1 to include the following - language:
Ndtwithstandinganything herein to the ,contrary, if funds are not appropriated for any
portion_ of the term for a piece of equipment subject to this Agreement, the City may
terminate this Agreement with respect •to .such eguipment_at the end of the tithe period for
which fiords have been appropriated.
- Deleting paragraph 19.2.
City may terminate tliis Agreement at any time up n thirty (30) clays prior notice, to
Vendor. In the event of .;. ion, Vendor shall be entitled to receive only
payment for the undisputed. in\oiee amount-of conferming Goo
as of the date of termination, except that such puytnent amount shall not exceed the
Estimate, amount in effect at thc time of.te niination, unlcsi: the parties have previously
agr.,ed in writing t a greater amount.
The tcrim and conditions' of the Agreement shall not otherwise be affected by this Additional
Services Amendment and shall remain in full force and effect.
