This letter is to confirm that Hamilton Western Utilities, Inc. has been working with Gordon
Byers to reach an agreement that both parties will be willing to execute regarding the
disputes in our interpretations of the Wastewater Service Agreement. If we can reach a
mutually acceptable method of determining instantaneous flow in aggregate between the
Nevele Lane and Village Farms meters, Hamilton Western will be willing to execute an
amendment to its present contract. Hamilton Western's commitment is based upon a good
faith effort by the City of Carmel to honor its commitment with respect to construction
permits it has agreed to authorize.
Please fax a copy of your signed letter to I.D.E.M. to our offices at 575-9074 this afternoon.

What the City of Carmel requires in this issue is a written
understanding confirming what was previously agreed to by
both parties but since has been forgotten.
I cannot accept the concept that attorneys will work out the
details because that is what I believed we had previously
and we seem to have lost.
We need for both of us to conclude this issue once and for
all time so we can each go about our business.
