Commonwealth Engineers• • 0 AN AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES Cit HIS MENT is made this day of 1986, by and between the City of CARM , INDIANA (hereinafter referred to as the "CITY"), and COMMONWEALTH ENGINEERS, INC. (hereinafter referred to as the "ENGINEER"). The CITY, in the performance of its duties, had determined that an emergency exists and that there is need for professional engineering consultation and services, and the ENGINEER agrees to perform such engineering consultation and services that are within its competency, or, to assist the CITY in acquiring the necessary competent professional engineering consultation and services. For and in consideration of the mutual covenants and promises between the parties hereto, it is hereby agreed: SECTION A - PROFESSIONAL ENGINEERING SERVICES 1. The ENGINEER will attend meetings when requested by the CITY. Requests shall be by the CITY'S Board of Public Works and Safety, it's Chairman, or it's designated agents. 2. The majority of the services performed by the ENGINEER are minor engineering tasks, (reports, investigations, minor designs, assistance in bidding, and assignments requiring drafting, surveying, or other allied services). When requested by the CITY, the ENGINEER will furnish the necessary employees to perform such tasks. Normally the results of these tasks will be reported in writing by the ENGINEER to the person ordering the task. If requested by the CITY, the ENGINEER will prepare detailed plans, specifications, and cost estimates necessary to secure bids on any construction, maintenance or repair work required. Further, the ENGINEER will furnish any construction supervision and/or resident inspection services when so requested by the CITY. SECTION B - COMPENSATION FOR ENGINEERING SERVICES 1. The ENGINEER shall be compensated by the CITY for meetings and minor engineering tasks in accordance with the schedule set out in Section C hereof. The ENGINEER will render to the CITY for such services an itemized bill -1- 0 separate from any other billing, at the end of each month. The same to be due and payable on or before the 10th day of the following month. 2. Engineering tasks requiring plans and specifications or major engineering reports are divided into two classifications as follows: (a) Those tasks having construction cost estimates less than $300,000 and (b) Those tasks having construction cost estimates in excess of $300,000. The ENGINEER shall be compensated by the CITY for tasks under Section B -2-a on the same basis outlined in Section B-1. If an engineering task has the scope outlined under Section B -2-b, then a separate Engineering Service Agreement will be entered into between the CITY and the ENGINEER. SECTION C - SCHEDULE OF RATES AND CHARGES FOR ENGINEERING SERVICES Charges for services under this agreement shall be based upon actual salary cost times a multiplier of 2.82 plus expenses, the multiplier to include all indirect payroll cost, overhead and profit. Reimbursable Expenses 1. Travel from office $0.205 per mile, or actual out-of-pocket cost, plus time at above rates for both ways. 2. Actual cost of subsistence and lodging. 3. Actual cost of long distance telephone calls, telegrams, express charges, and postage other than first class mail. 4. Blue line prints at $0.20 per square foot. 5. Actual costs of special tests and services of special consultants (not used without specific written consent of CITY). -2- • SECTION D - GENERAL 1. Termination - Termination may be effected by either party giving the other written Notice of Termination by registered United States Mail ten (10) days prior to termination. Termination may be made effective immediately by agreement of both parties. Prior to termination; the ENGINEER shall be paid by the CITY for all performance on work that has been ordered done, up to termination of the contract. 2. Ownership of Documents - Drawings and specifications, as instruments of service, are the property of the ENGINEER, whether the work for which they are made be executed or not. Any documents, reports, plans, specifications or other information furnished to the CITY by the ENGINEER shall not be used by the CITY any time for advancing any project to construction, unless the ENGINEER shall have been paid therefore at the rate established in this Agreement. 3. Execution - This contract shall be in full force and effect when dated and properly signed until terminated. The CITY and the ENGINEER each bind themselves, their successors, executors, administrators, and assigns to the other party of this Agreement. -3- 0 IN WITNESS WHEREOF, the parties hereto have executed, or caused to by their duly authorized officials, this Agreement in duplicate on the respective dates indicated below. Reiman, Mayor, and Board of Public Works and Safety 40 East Main Street Carmel, IN Re: Authorization under Consulting Agreement Dear Mayor Reiman: 0 We are pleased to offer the following services based upon the City's indicated needs in accordance with our Agreement for Professional Engineering Consultation and Services dated September 30, 1986 for services during the period declared by the Board of Public Works and Safety to be an emergency. 1. Provide general consultation services regarding water and sewage problems; 2. Assist the City in receiving bids for improvements to the Emerson Lift Station, make recommendations on award, and furnish construction engineering services; 3. Provide construction engineering services for the construction currently under way to install a new well at Water Plant No. 4; 4. Prepare plans and specifications, assist in bidding and provide construction engineering services for the construction of sidewalks on 136th Street and 116th Street as directed by the Chairman of the Board of Public Works and Safety; 5. Provide construction engineering services for the testing and recommendations for acceptance of the construction of improvements to the sanitary sewers on 116th Street as well as necessary completion of construction engineering services. Since the term of this Agreement is for the emergency period, the estimated costs for the above services is limited to anticipated efforts during that period.
