We are meeting at 3PM on Monday 10/22 to discuss. 11-1-12 —I spoke to Keith Faller. He was following up on our meeting. 1 told him that I did not yet have an answer for him from the City but that I would let hint know as soon as I heard. 11-15-12 — I spoke to Keith Faller and told him that the City was countering at 80% of the fee value, or S197,232. He said that he will take it back to the board for consideration. 1 told him that in order for the City to go any higher than that, they would need to produce an appraisal. 1 also told him that the City was asking if they would agree to provide a right of entry so that the project could get started. 1 -le said he did not know about that but will seek guidance and let me know. 11-16-12 — Keith Faller left me a vm. He said that the HS is countering back at 85% damage factor, or 8209,559. 11-30-12 — I spoke to Keith Faller and told him that the City was now willing to settle for the amount of 5203,000. He said that he will send an email to the President of the board and get back to me next week. 3-22-13 — I spoke to Keith Faller. He confirmed that it appears all issues have been resolved and that the attorneys for UHS are reviewing the docs. He understands that we will also need to obtain a partial mortgage release. Just was going to write to you. UHS is oaky with the responses with one exception. This new drainage system is not part of the UHS drainage system. Here are my comments specific to each of the 4 items: MEMO OF UNDERSTANDING IN REGARD TO THE PROPOSED LAND EASEMENT ON THE UNIVERSITY HIGH SCHOOL PROPERTY 1. Utilization of the easement will be limited to solely the purpose of drainage and the maintenace of that drainage facility and no other utilization by Hamilton County or the CIty of Carmel or there agency (s), departments, or licensced agents. - This language is unnecessary as the Recorded Easement will be specific to the allowable use of the easement are and to which entities are entitled to enter upon it. Quite frankly, the recorded easement language would likely negate anything stated in this proposed memo anyway. 2. No current or future assessments to University High School or any of the neighborhoods adjacent to University High School for the specific construction or rnaintence of the proposed drainage 4 facility. — We can't nutke this statement because there will eventually be regulated drain maintenance assessntents attached to this detention facility and it associated storm sewer pipes and wales. However, the property owners benefited by this facility will not be assessed for the facilities initial construction, only ongoing maintenance or repair. Again, it's unnecessary to state this as it's already stated in the Interlocal agreement with the county and reinforced by State Code related to County Regulated drains. 3. Damages will be awarded to University Hlgh School if the drainage facility contstruction or failure to operate properly results in damage to University High School property and that Universtiy High School will not be held liable for any damage incurred to the adjoining neighborhoods because of the construction or malfunction of the drainage facility. — This is situp/y something we cannot say. If there's damage to the high school due to negligence on the City, County, or their assigns, the University High School would have to take action to prove this and then seek compensation for the loss from the appropriate responsible party. 4. University High School Head of School will be advised in advance whenever access to the property is needed to construct or maintain the drainage facility. — City would actually be okay with a statement similar to this one and I believe the County would as well. You had asked whether the City would be willing to allow the use of temporary signage in front of the high school without having to go through the normal permitting process.
