THIS INDENTURE WITNESSETH, That DUKE ENERGY INDIANA, INC., an Indiana
corporation and formerly named "Public Service Company of Indiana, Inc." ("Grantor"), Conveys and
Warrants to the CITY OF CARMEL, INDIANA ("Grantee"), as a donation, certain Real Estate ("Real
Estate") situated in the County of Hamilton, State of Indiana, and being more particularly described 011
the attached Exhibit "A" legal description and depicted in hatched format on the attached Exhibit "B" plat
drawing, both of which exhibits are incorporated herein by reference.
This conveyance is subject to any and all easements, conditions and restrictions of record.
Grantor reserves access to and from the paved portion of Guilford Road and the remainder of
Grantor's land described in Deed Record 324, Page 340 in the Office of the Recorder of Hamilton
County, Indiana, over the driveway area shown on the attached Exhibit "C" construction plans entitled
"Construction Details — Guilford Road Path Extension" (Sheet No. 200) dated February 25, 2015 and
prepared by Crossroad Engineers, PC ("Plans"). Grantee shall construct said driveway arca for Grantor
on the Real Estate at the expense of Grantee and per the Plans. Grantee shall not obstruct said driveway
area at any time. After such construction by Grantee of said driveway area, Grantor shall maintain it,
excluding any damage caused by Grantee which Grantee shall promptly repair at the expense of Grantee.
Grantee shall construct and maintain at the expense of Grantee, the remaining portion of the Real Estate
pursuant to the Plans including drainage facilities and a pedestrian path.
Grantor hereby specifically acknowledges and agrees that although the Real Estate is conveyed
for the expansion of the public road right of way of Guilford Road, it is nevertheless conveyed in fee
simple and that no reversionary rights whatsoever shall remain with Grantor, or any successors in title to
the abutting lands of Grantor, notwithstanding any subsequent abandonment, vacation, disuse, nonuse,
change of use, conveyance, lease and/or transfer by Grantee or its successors in title, of a portion or all of
the Real Estate or any right of way or roadway appurtenances established thereupon. This
acknowledgment and agreement is a covenant running with the land and shall be binding upon Grantor
and all successors and assigns.
The undersigned persons executing this deed on behalf of Grantor represent and certify that they
are fully empowered to execute and deliver this deed on behalf of Grantor; that Grantor has full capacity
to convey the Real Estate; and that all necessary corporate action for the conveyance of the Real Estate
has been taken and done.
