Having worked with you throughout the years, we know you have come to trust our
commitment to honesty and integrity in our interactions. Because of this, we want to let
you know personally about a significant and exciting announcement regarding the future
of Etica Group.
Etica Group is proud to announce our recent acquisition of PCS Engineers. This transition
became effective on April 12, 2017. Etica and PCS Engineers have worked together for
many years and because of our shared self-made mentality and identical approach to
ethical practices, we have experienced an incredible synergy between our firms. In short,,
the choice to become one company was a natural one.
Due to this acquisition, the Etica team has nearly tripled in size, and has experienced
significant growth to our services, certifications, specializations, and capabilities, all with
the same level of personalized attention and communication that you are already
accustomed to from both firms. We are very excited for what the future holds for Etica
Group, and we are optimistic that you also will see the benefit of this venture.
Etica Group, is taking responsibility for the remaining contract work previously assigned
to PCS Engineers.
Additionally, there will be no change to any personnel working on current and future projects.
You will receive the same quality of work, on time schedules and professional services with the
same people you have grown accustomed to.

Dear Sir or Madam:
This letter is to notify you that, pursuant to an Asset Purchase Agreement dated April 12,
2017 between The Etica Group, Inc. ("Etica"), Parsons, Cunningham & Shartle Engineers, Inc.
("PCS"), and, solely for the limited purposes set forth therein, Cheryl A. Cunningham and Chester
A. Parsons (the "Asset Purchase Agreement"), PCS has agreed to sell substantially all of its
assets to Etica (the "Asset Purchase").
In connection with the Asset Purchase, PCS desires to convey, assign, and transfer your
Agreement to Etica. Pursuant to the 'Agreement, we are writing this letter to .request your written
consent to such conveyance, assignment, and transfer. Unless you are otherwise notified, Etica
intends to continue to perform its obligations under your Agreement from and after the closing of
the Asset Purchase.
Therefore, please indicate receipt of this notice and consent to the requested assignment by
executing the enclosed copy of this letter in the space provided. By executing this letter, [Party]
approves of and consents to the assignment by PCS of the Agreement, effective upon the closing
of the Asset Purchase, and acknowledges that Etica thereby assumes all right, title, and interest of
PCS under the Agreement.
