English Oaks HOA/Shelborne Path 106th to 116th – Project #16-ENG-49REAL PROPERTY DONATION CERTIFICATION Project: 16 -ENG -69 Shelbourne Path — 106'h to 116" Parcel No.: I Parcel Owner: English Oaks Homeowners Association, Inc. English Oaks Homeowners Association, Inc., an Indiana non-profit corporation, (the "Owner") is the owner of real estate described as Parcel 1, Parcel IA, Parcel 113 and Parcel IC as shown on various exhibits labeled Exhibit A and Exhibit B attached hereto (the "Real Estate"), which Real Estate is also shown on Exhibit C attached hereto. A portion of the Real Estate is needed by the City of Cannel, Indiana, an Indiana municipal corporation (the "City") for a public improvement project, the construction of a multi- purpose public path on Shelboume Road between 106' Street and 116"' Street (the "Project"). The remainder of the Real Estate includes an existing path which is also being conveyed to the City. All of the Real Estate will become part of the City's right of way. The Owner will execute the necessary conveyance instruments to transfer the Real Estate to the City. This donation to the City is made without any coercive action of any nature. The Owner is fully aware that it is entitled to just compensation for the portion of the Real Estate the City is acquiring for the Project based upon an appraisal pursuant to applicable law. The Owner waives the right to an appraisal and agrees to convey the Real Estate to the City for no consideration. The undersigned represents and warrants that he/she is the Pa si len-t-of Owner; that Owner is a non-profit corporation validly existing in the State of Indiana; that Owner has full corporate capacity to agree to this donation and convey the Real Estate described; that pursuant to the Owner's governing documents he/she has full authority to execute and deliver this Real Property Donation Certification and conveyance documents on its behalf and that said authority has not been revoked; that he/she is therefore, fully authorized and empowered to convey the Real Estate to Grantee, and that on the date of execution of this Real Property Donation Certification and conveyance documents he/she has full authority to so act; and that all necessary action for the making of this conveyance has been duly taken, including but limited to, the required consent of Owner's members. The Owner represents and warrants that no consent of any third party, including but not limited to mortgagees, lenders, landlords, tenants, partners, members, managers, shareholders or joint venturers, is required for the valid and binding execution and delivery of this Real Property Donation Certification.
