NS Services LLC/Comm Serv/26,450/Historic Resources Survey Agreement -Gv t i QRQ HISTORIC RESOURCES SURVEY AGREEMENT This istoric Resources Survey Agreement (the "Agreement") is entered into the day of 5e9f 14hk+- , 2019 by and between the City of Carmel,an Indiana municipal corporation, by and through its Board of Public Works and Safety ("City") and NS Services LLC, an Indiana corporation ("Contractor") and in consideration of the mutual covenants and promises herein contained, and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the City and Contractor agree as follows: Article 1. Purpose: The purpose of this Agreement is to update the existing survey of Historic Resources(as hereinafter defined) in the City of Carmel and Clay Township, Indiana. Contractor shall, in compliance with provisions set by City,comprehensively survey all historic sites and structures within the following areas that were identified as potential local historic districts on the existing survey: Cannel Old Town,Carmel Village Subdivision, Deerfield Subdivision,Johnson Addition,Lady Hamilton Estates,and Walter's Rolling Acres Subdivision. Contractor shall also update existing survey entries, in compliance with provisions set by City, for all previously surveyed properties (both within and outside of potential local historic districts) within the following boundaries: south of 146t Street, west of the White River, north of 96t Street, and east of the Boone County line. In addition, Contractor shall identify within the same boundaries any potential local historic districts and conservation districts that are not currently identified on the existing survey, and the Contractor shall comprehensively survey the resources within those potential local historic districts or conservation districts in provisions set by the City (the "Project"). Article 2. Term: The"Term"for purposes of this Agreement shall begin upon the date on which it is last executed by a party hereto (the "Effective Date") and shall end upon the submission of a final document, unless earlier terminated in accordance with the provisions hereof or extended by written amendment signed by both parties. The Term shall not exceed 240 days, excluding the time reasonably necessary for the City to review the Contractor's survey results. Article 3. Scope of Work: Contractor agrees to perform the Project by providing the services and deliverables described in the "Scope of Work" set forth in Attachment A, which is attached hereto and made a part hereof. Attachment A also sets forth responsibilities with respect to the Project to be performed by the City. It is anticipated that Historic Resources will be comprehensively surveyed in no more than six(6)previously identified potential local historic districts or conservation districts and in no more than five (5) additional previously unidentified potential local historic districts or conservation districts (a total of eleven (11) potential districts) as part of the Scope of Work. "Historic Resources" is defined to include all scattered and individual sites and historic districts deemed eligible for local designation by City. In the event that Contractor anticipates that more than eleven (11) potential local historic districts or conservation districts of Historic Resources need to be comprehensively surveyed as part of the Scope of Work, Contractor shall promptly consult with City in order to determine whether the Scope of Work can be adjusted to enable the Contractor to complete the Project for the Fee(as defined hereinafter). Changes in the Scope of Work must be approved by the City in writing. Article 4. Key Project Personnel: City's key Project personnel shall be Mark Dollase, Administrator; Sam Burgess, Carmel Historic Preservation Commission Staff; and Nick Davis, Carmel Historic Preservation Commission Chairperson. Contractor's key Project personnel shall be Anne M. Shaw, Project Manager and Principal Investigator; Stacy Bennett & Shannon Bonifacio Project Technicians; and Nadeem Siddiki, Project Administrator. Contractor shall not reassign or replace such key Project personnel without City's written consent. Article 5. Costs and Payment: City shall reimburse Contractor for its actual costs incurred in performance of the Scope of Work during the Term not-to-exceed the amount of Twenty Six Thousand Fifty Dollars($26,050.00)(the"Fee"),as set forth in Attachment B, which is attached hereto and made a part hereof. The Fee shall be payable as follows: (i) Fifteen percent (15%) of the Contractor's reimbursement will be withheld until the final product has been approved by the Common Council of the City of Carmel; (ii) fifteen per cent (15%) will be paid at the beginning of the project upon contract signing; (iii, iv) the remaining funds dedicated for reimbursement (70%) will be paid out in two installments of 35% upon submission of progress reports — (iii) the first installment following the collection of all raw data for the survey update (including photographs); (iv) the second installment following the acceptance of final survey update documents by Carmel Historic Preservation Commission staff. The Contractor's reports,shall provide sufficient information to demonstrate that the work completed justifies each payment request. City shall pay Contractor within thirty(30) days of receipt of each invoice at the address provided herein. Article 6. Intellectual Property: Contractor shall retain all common law, statutory and other reserved rights, including copyrights, in the creative work performed by Contractor, including surveys, sketches, drawings and other similar materials ("Instruments of Service"). City is hereby granted a perpetual, non-exclusive, irrevocable, royalty-free license to use and reproduce such Instruments of Service that are delivered or specified to be delivered under this Agreement. Article 7. Retention of Records: Financial records, supporting documents and other records pertaining to this Agreement shall be maintained and retained by Contractor for a period of three(3)years from completion of the Project or the termination date of this Agreement. If any litigation, claim or audit is started before the expiration of this 3-year record retention period,the records shall be retained until all litigation,claims or audit findings involving the records have been resolved and final action taken. Article 8. Termination: This Agreement may be terminated by either party at any time without cause upon thirty(30) days advance written notice to the other party. If the Agreement is terminated by City prior to completion of Contractor's Scope of Work, then Contractor shall be entitled to reimbursement of all costs reasonably incurred for work performed to the date of termination, not to exceed the total Fee. Article 9. Applicable Law: This Agreement shall be construed under the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County,Indiana only,and agree that such court is the appropriate venue for and has jurisdiction over same. Article 10. Indemnification: To the fullest extent allowed by law, Contractor agrees to release, defend (with counsel reasonably acceptable to City), indemnify, and hold harmless City from and against all injuries, loss,causes of action, claims, liability, damages or judgments, including costs, expenses, and attorneys' fees, which arise in connection with, in relation to,or as a result of the negligent acts, errors or omissions of Contractor in the performance of the Scope of Work of the Project. Article 11. Use of Names: Contractor may not use, directly or by implication, the name of the City or the name of City's personnel, or any information or data relating to the Project, for any commercial publicity or advertising. Article 12. Independent Contractor Status: Contractor is entering into and shall perform this Agreement as an independent contractor and not as an employee of City. This Agreement does not create or constitute a joint venture,agency, partnership or other similar relationship between the parties.Neither 2 party is authorized to make commitments on behalf of the other, nor to bind the other party in any way, unless specifically authorized to do so by an authorized representative of the other party. Article 13. Compliance with Laws: a. Contractor agrees to comply with all federal, state and local laws,executive orders, rules, regulations and codes which may be applicable to Contractor's performance of its obligations under this Agreement, and all relevant provisions thereof are incorporated herein by this reference. b. Contractor agrees that it and all of its officers, employees, agents, contractors and subcontractors shall comply with all laws of the United States, the State of Indiana and City of Carmel prohibiting discrimination against any employee, applicant for employment or other person in the provision of any goods and services provided by this Agreement with respect to their hire,tenure,terms,conditions and privileges of employment and any other matter related to their employment or subcontracting, because of race, religion, color, sex, handicap, national origin,ancestry,age,disabled veteran status and/or Vietnam era veteran status. c. Contractor agrees that it will comply with the Drug Free Work Place Act of 1988 and its implementing regulations as amended. d. Pursuant to Ind. Code § 22-5-I.7 et seq., Contractor shall enroll in and verify the work eligibility status of all of its newly-hired employees using the E-Verify program, if it has not already done so as of the date of this Agreement. Contractor is further required to execute the Affidavit attached hereto and made a part hereof as Attachment C, which is an Affidavit affirming that: (i) Contractor is enrolled and is participating in the E-verify program, and (ii) Contractor does not knowingly employ any unauthorized aliens. In support of this Affidavit, Contractor shall provide the City with documentation that it has enrolled and is participating in the E-Verify program. This Agreement shall not take effect until said Affidavit is signed by Contractor and delivered to the City's authorized representative. Should Contractor subcontract for the performance of any work under this Addendum, the Contractor shall require any subcontractor(s) to certify by affidavit that: (i) the subcontractor does not knowingly employ or contract with any unauthorized aliens, and (ii) the subcontractor has enrolled and is participating in the E-verify program. Contractor shall maintain a copy of such certification for the duration of the term of any subcontract. Contractor shall also deliver a copy of the certification to the City within seven (7)days of the effective date of the subcontract. If Contractor, or any subcontractor of Contractor, knowingly employs or contracts with any unauthorized aliens, or retains an employee or contract with a person that the Contractor or subcontractor subsequently learns is an unauthorized alien, Contractor shall terminate the employment of or contract with the unauthorized alien within thirty (30) days ("Cure Period"). Should the Contractor or any subcontractor of Contractor fail to cure within the Cure Period, the City shall thereafter have the right to immediately terminate this Agreement without penalty or further obligation to Contractor. Article 14. Insurance: Contractor,at its sole cost and expense, shall maintain insurance coverage in the types and amounts listed below. Contractor shall also require its subcontractor(s) to maintain the same insurance. All insurance shall be with insurers having an A.M. Contractor may use an umbrella or excess policy to supplement or provide any of the policy limits listed above. The umbrella or excess policy shall be follow-form of the required coverage or provide, at a minimum, the coverage available on the required policies. Contractor shall deliver to City certificates of the policies evidencing the insurance required above before the commencement of the work of the Project. Each policy shall name City as an additional insured, with such coverage being primary and non-contributory with respect to any insurance carried by City. Article 15. Notices. Any notice provided for in or permitted under this Agreement shall be made in writing, and may be given or served by(i)delivering the same in person to the party to be notified,or(ii) depositing the same in the United States mail, postage prepaid, registered or certified with return receipt requested, and addressed to the party to be notified at the address herein specified, or(iii) by depositing same with a reputable overnight courier service. If notice is deposited in the United States mail pursuant to clause (ii) of this Section, it will be effective from and after the day it is received by the addressee or receipt thereof is refused by the addressee, unless such day is not a business day, and then it shall be deemed received on the next business day. Notice given in any other manner shall be effective only if and when received by the party to be notified unless the day it is received is not a business day, and then it shall be deemed received on the next business day. Article 16. Modifications and Entire Agreement: This Agreement and attachments hereto contain the entire agreement between the two parties. All modifications must be in writing and signed by the duly authorized officials of City and Contractor. No oral agreement or conversation with any officer or employee of either party shall affect or modify any of the terms and conditions of this Agreement. Article 17. Severability: Should any term of this Agreement be found invalid or unenforceable,then to the extent that such term is invalid or unenforceable, it shall not affect the validity or enforceability of any other term of this Agreement. Article 18. Headings: This section and clause headings used herein are for reference and convenience only and shall not enter into the interpretation of this Agreement. Article 19. Survival: Any provisions which by their nature are intended to apply after termination of this Agreement shall survive termination of the Agreement. Article 20. Waiver: The failure of either party to insist in any one or more instances upon the strict performance of any of the terms or provisions of this Agreement by the other party shall not be construed as a waiver or relinquishment for the future of any such term or provision, but the same shall continue in full force and effect. Article 21. Binding Effect: This Agreement shall be binding upon the parties hereto, their successors and assigns. Article 22. Assignment: Neither party shall assign this Agreement to any third party without the other parry's prior written consent. Article 23. No Liens: Contractor shall not cause or permit the filing of any lien on any of City's property. In the event any such lien is filed and Contractor fails to remove such lien within ten (10)days after the filing thereof, by payment or bonding, City shall have the right to pay such lien or obtain such bond,all at Contractor's sole cost and expense. Article 24. Pa e e -Trer Date: °� j 6 ATTACHMENT A Scope of Work For this Project,Contractor will compile a survey of historic sites and structures of the City of Carmel and Clay Township on behalf of City.The survey area extends south of 146fi'Street,west of the White River, north of 96"'Street,and east of the Boone County line. Requirements of the Contractor for the Project include: • The Project will be conducted in accordance with Standards and Guidelines for Identification and Evaluation outlined in the Indiana"Survey Manual for Architectural and Historic Resources"issued by the Division of Historic Preservation and Archaeology(DHPA). • All documents and maps will be prepared in accordance with DHPA standards and guidelines,and the Secretary of the Interior Standards and Guidelines for Identification and Evaluation. • Digital versions of all new and updated survey entries shall be prepared by the Contractor within RuskinArc,the platform employed for the existing online version of the survey. City will grant access to the City of Carmel's RuskinArc website by defining Contractor as a"Contributor"to the site. As a"Contributor,"Contractor will have the ability to enter data and photographs directly into RuskinArc to create draft survey entries for previously unidentified resources and create draft updates to existing survey entries. City reserves the right to review Contractor's draft entries and updates and ultimately publish them for online public access. • Contractor shall produce maps and survey cards of properties not currently represented on the 2014 Carmel and Clay Township Historic Architecture survey within six potential local historic districts defined in that survey. Those potential districts are identified as follows: Deerfield Subdivision, Johnson Addition, Walter's Rolling Acres Subdivision,Carmel Village Subdivision,Carmel Old Town,and Lady Hamilton Estates. All properties within these proposed historic districts should be labeled"outstanding,""notable,""contributing,"or"non-contributing"as is required in the City of Carmel Historic Preservation Ordinance. Survey entries will be completed in full detail for any property that receives a rating of"outstanding,""notable,"or"contributing,"while entries for each "non-contributing"property will consist of a single photograph,construction date,and minimal description. Windshield surveys will be required to determine areas worthy of further documentation, including potential local historic districts not identified on the 2014 survey. • In addition to survey cards and photography,Contractor shall produce research documentation concerning the development history of newly surveyed properties and will interview residents as necessary.Contractor shall consult with City about likely candidates for interviews. The required research documentation for the Project shall include review of all relevant historical documents including previously compiled research,historical maps, local histories,and electronic mapping to gather data pertaining to how inventoried resources have been categorized and classified by previous researchers. Contractor shall evaluate oral history subjects identified by City and interview if appropriate. Relevant documents can be found at places like:City of Carmel,Carmel Historic Preservation Commission, Hamilton County Historical Society,Cannel Clay Historical Society, Cannel Clay Public Library, Indiana State Archives, Indiana Historical Society, Indiana Landmarks, and the Indiana State Library. • The survey area will be divided into a series of discrete sections,each numbered for simple identification. Using USGS topographic maps and aerial imagery,a survey team will conduct an 7 updated methodical windshield survey of Carmel and Clay Township.The survey team will inspect each section of the survey area, identifying all resources that are 40 years old,or older.The intention of this portion of the Project is to ensure that any qualified Historic Resources not already identified on the existing survey and not lying within previously identified potential local historic districts or conservation districts will be added to the survey;and to ensure that any major alterations to Historic Resources already identified on the existing survey will be recorded such that the data and photographs in the survey entries for those properties reflect their current condition as of 2019. A combination of historical aerial imagery,assessor's records,and field survey will help identify the resources that meet or exceed the 40-year threshold. For those sources that meet or exceed the age criteria,Contractor will categorize each structure according to its architectural style and consider each structure's potential to exemplify historical or cultural themes.The survey team will use a GPS- integrated camera to record those resources that merit formal recordation. Each recorded resource will receive its own,unique field number.Contractor will use this date to create accurate mapping of the survey. • Contractor will consider the overall cultural importance of each resource,and the survey team will examine architectural integrity to determine whether or not identified districts adequately represent periods of significance,and/or retain original,architectural aesthetic. Buildings that have been altered by replacement of original materials,or have been reconfigured with large and/or insensitive additions, may no longer convey a sufficient connection to the resource's period of significance or the architect or builder's vision.These structures may not merit formal documentation. A few good representatives of repetitive building types may be all that are needed for recording purposes. • Additional targeted windshield surveys will be completed by the Consultant within Clay Township and the City of Carmel to determine areas worthy of further documentation insofar as they constitute potential local historic districts or conservation districts not identified as such on the 2014 survey. These potential districts may include up to five(5)subdivisions or areas that will be assessed for their potential historic district status. Should any of these subdivisions be determined to have potential for a district designation,an additional fee,as specified in Appendix B,will be required to complete a comprehensive survey,which will encompass research and documentation culminating in the production of survey entries and map overlays on RuskinArc complete with representative photographs and requisite data for all "outstanding,""notable,""contributing,"and"non- contributing"resources within the potential district,as well as research and documentation resulting in the production of a brief historical summary and statement of significance for the district at large (one to three paragraphs of text). Contractor shall select areas for additional targeted windshield surveys of previously unidentified local historic districts and conservation districts based on the following:(I)the Contractor's own findings and observations regarding previously unidentified potential local historic and conservation districts during the more general updated windshield survey of Carmel and Clay Township;and(2)any recommendations of the City. • In conducting the survey update,Contractor will pay special attention to post-World War II suburban housing and commercial architecture,which Contractor will encounter in abundance during the Project.The survey team will pay special attention to significant subdivisions,such as the earliest examples of the type as well as those that include definitive examples of post-war architecture and community planning.Contractor will address exceptional examples of subdivisions as potential historic districts. Resources recorded within potential districts will each receive a rating of "outstanding,""notable,""contributing,"or"non-contributing." • Contractor will prepare a Draft Report for submittal to City.The Draft Report will include: Front Matter; Introduction; Maps showing proposed survey properties, including any proposed sites and districts; Survey cards for each recorded resource,complete with one or two photographs;research 8 • documentation of developmental history of neighborhoods and commercial districts;and transcripts of any relevant interviews. • Contractor shall prepare a Final Report for submittal to City in two formats: (1)a bound hard copy, and(2)a complete collection of new and updated digital survey entries in RuskinArc.The hard copy of the Final Report will include:(i)Front Matter;(ii)Table of Contents;(iii)Introduction;(iv)Maps showing proposed survey properties(exported from RuskinArc), including any proposed sites and districts;(v)Two to four(2-4)complete survey cards for each recorded resource, including a minimum of two photographs for each survey cards; (vi)an index(exported from RuskinArc if possible)of all new survey entries for Outstanding and Notable resources for each potential local historic district or conservation district that was comprehensively surveyed for the Project,with entries for each property including the address of each property, its construction date, its survey rating (Outstanding or Notable),and a number corresponding to its marked location on the map for the district; (vii)an introduction for each potential local historic district or conservation district comprehensively surveyed in the Course of the project,summarizing research documentation of developmental history of neighborhoods and commercial districts;and transcripts of any relevant interviews.The Final Report shall be made available in hard copy and as an accessible PDF. • Deadlines: o The Consultant shall submit a completed collection of new survey entries to the City on a date no later than December 2,2019. The City shall have thirty(30)days to review the project.The City, including the Carmel Historic Preservation Commission,has the authority to review and recommend the adoption of survey material.The Contractor will then have thirty(30)days to make corrections and resubmit the project to the City of Carmel Historic Preservation Commission on or before February 3, 2020. • Meetings: o Contractor will conduct an initial meeting with City. o Contractor will be present for a start-up meeting with the public. o Contractor will give a public presentation at the end of the Project to present findings at a regular meeting of the Carmel Historic Preservation Commission.
