Auto Trnsf CFD/Parks PROPERTY TRANSFER AND INDEMNIFICATION AGREEMENT ("AGREEMENT")
BETWEEN CITY OF CARMEL FIRE DEPARTMENT AND
CARMEL-CLAY PARKS DEPARTMENT
WHEREAS, it is the desire of the City of Carmel, Indiana, an Indiana municipal corporation, by
and through its Board of Public Works and Safety ("City"), to dispose of one (1) 1992 Chevrolet Caprice
automobile, Model L53, VIN # 1G1BL5371NW133689 ("Vehicle"), which was previously used by the
Carmel Fire Department but has now been replaced by newer equipment; and
WHEREAS, it is the desire of the City to dispose of the Vehicle in a manner that will benefit the
community; and
WHEREAS, the Carmel-Clay Parks Department, an Indiana municipal corporation, has requested
the donation of the Vehicle for its use.
IT IS THEREFORE AGREED THAT:
1. The City will donate the Vehicle to the Carmel-Clay Parks Department, in the state and
condition that it presently exists, without any express or implied warranty as to such Vehicle's
condition or fitness for any intended use or purpose whatsoever.
2. The Carmel-Clay Parks Department shall accept the Vehicle in the state and condition that it
presently exists and without any express or implied warranty as to such Vehicle's condition or
fitness for any intended use whatsoever.
3. The Carmel-Clay Parks Department agrees to hold harmless the City of Carmel, Indiana, the
Carmel Fire Department, and their respective officers, officials, employees, attorneys, agents,
successors and assigns, and shall indenmify same, for any and all liability that may arise from
or as a result of the Vehicle or any use thereof on and after the Effective Date of this
Agreement.
4. The undersigned are the right and proper parties to enter into this Agreement and have
authority to bind the party for whom they execute same.
5. This Agreement shall become effective and binding on the last date on which a party hereto
executes same ("Effective Date").

A RESOLUTION OF THE BOARD OF PUBLIC WORKS AND SAFETY OF THE CITY OF
CARMEL, INDIANA,REGARDING TRANSFER OF PROPERTY
TO CARMEL-CLAY PARKS DEPARTMENT
WHEREAS, I.C. 5-22-22-10 provides a procedure for the transfer of property between
governmental bodies in the State of Indiana; and,
WHEREAS, the Carmel Fire Department has identified the vehicle described in attached Exhibit
A as being appropriate for transfer to the Carmel-Clay Parks Department; and
WHEREAS, the City of Carmel, by and through its Board of Public Works and Safety, desires to
effect such transfer pursuant to the provisions of I.C. 5-22-22-10.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and
Safety, that the vehicle described in attached Exhibit A be, and it hereby is, transferred to the Carmel-Clay
Parks Department pursuant to the terms and conditions of the Property Transfer and Indemnification
Agreement attached hereto as Exhibit A.
BE IT FURTHER RESOLVED THAT such transfer shall be contingent upon the proper
execution by the Carmel-Clay Parks Department of the Property Transfer and Indemnification Agreement
attached hereto as Exhibit A and the adoption of a substantially identical resolution by the proper officers
of same.
