Re: Matter Involving Division of Kalageros Account Under the Deferred
Compensation Plan of the City of Carmel
Dear Doug:
This letter will confirm your engagement of Baker& Daniels and the basis upon
which we will represent the City of Carmel in connection with the above-referenced matter. This
letter revises certain terms from my March 21, 2002 letter to you based on your request. We are
pleased to have the opportunity to be of service to you.
You have asked us to address certain matters relating to the proposed division of
an account for the benefit of Mr. Kalageros under the Deferred Compensation Plan of the City of
Carmel pursuant to Mr. Kalageros' divorce.
We will bill you monthly for our services unless the amounts in any month are not
significant. Our present hourly rates range from $380 for our most experienced partners to $40
for our most junior legal assistants. My hourly rate is $250. These rates may change from time
to time. Our monthly statements will include charges for expenses that we incur on your behalf.
For such things as travel, lodging, filing fees, delivery and special staff services, and long
distance telephone charges, we will bill you at our cost plus any directly allocable overhead. We
will charge 10$ per page for copies, and long distance phone charges, if any, for outbound
facsimile transmissions. Payment is due upon receipt of our statement. A late fee of 1% per
month will be charged on amounts not paid within 30 days after the first day of the month
following the date of the statement. We will not charge you for word processing staff time,
courier services performed by our messenger staff or facsimile pages you send to us. If you have
any questions or comments concerning our services or charges during the course of our
representation, we encourage you to bring them to our attention immediately so that any problem
can be solved.

letter are acceptable to you and the City unless we hear from you otherwise.
