Re: Engagement Letter - Old Meridian Street Improvement Project
Gentlemen:
At your reqnest, ti'tis letter constitutes the proposed terms of my engagement and the
engagement of ICrieg DeVault, LLP CK/D') as outside legal counsel to the City of Cannel
("City") in the above-referenced matter.
I. Fees/Exoenses. The hourly rates for IUD mtomeys and paralcgals range from
$110 to $375 per hour for 2003. My hourly rate for work'on this matter will be $220.00 in 2003.
Additionally, reimbursement will be sought in connection with this engagement for expenses
incun-ed or advanced by ICdD on your behalf (e.g., litigation filing fees, etc.). Specific expenses
will be charged as follows: Copies at ten cents per page. No charge for mileage in Hamilton
and/or Marion Comity. All other mileage at thirty-five cents per mile. No charge for m-coming
faxes or local out-going faxes. Long-distance out-going faxes at ten cents per page. Only the
attorney with the highest bouxly rate will lmve his/her time billed to the City for conversatim~s,
meetings, etc., that involve more tha,~ one (1) K/D attorney, except for actual in-court trial time.
2. Services to be Provided. K/D will provide the scope and range of sm-vices
needed to accomplish the objectives of the referenced project, including, but not limited to, the
real estate related matters, title issues and necessary litigation involved in any condenmatxon
proceedings. K/D understands and agrees that no offer letters may be sent and no litigation may
be conmaenced in this matter wlthom the prior review m~d consent of the Carmel City Attorney,
or his designee.
I will be the primary K/D attorney responsible for providing legal services to the City.
While I will be your primary contact, other K/D attorneys could assist me, for example, in the
even~ of litigation.
The confidential invoice will describe in detail our services and itemize our expenses in
accordance with our standard firm policies and the attached Schedule of our standard charges for

these expenses. Payment relating to all invoices is due within sixty (60) days from the date on
which such invoices are received by the City
This proposal is for the calendax year 2003. We appreciate the confidence you have
placed in K./D in the past and look forward to continuing oar positive relationship.
If the foregoing terms and conditions accurately suntmarize and confirm the
understanding of our proposed attorney-client relationship, please indiea'te your approval and
acceptance by dating, signing and returning this letter in the enclosed self-ad&essed stamped
