VECTREN REIMBURSEMENT AGREEMENT
THIS AGREEMENT made and entered into this 8TH day of March ,2007,
by and between City of Carmel, Party of the First Part, hereinafter referred to as City of Carmel, and
Vectren Energy Delivery of Indiana dba as Indiana Gas Company Party of the Second Part,
hereinafter referred to as VECTREN.
WITNESSETH:
WHEREAS, City of Carmel desires to make certain changes, improvements and/or
adjustments to their property or facilities located at or near 1::l6th St. between Ditch & Springmill
Roads. CARMEL. INDIANA hereinafter referred to as the "Project".
WHEREAS, said changes, improvements and/or adjustments will adversely affect Vectren's
operation and maintenance capabilities to its natural gas distribution system.
WHEREAS, due to said construction, certain adjustments, removals, alterations and/or
relocations of existing VECTREN facilities will have to be made as shown on Exhibit "Au attached
hereto and by this reference made a part of this agreement.
WHEREAS, it is in the best interests of both VECTREN and the City of Carmel for
VECTREN to make these adjustments, removals, alterations and/or relocations of its existing
facilities with the their regular construction and maintenance forces, or by a contractor(s) paid
under a contract let by Vectren.
NOW, THEREFORE, for and in consideration of the mutual covenant herein recited, both
VECTREN and the City of Carmel do herein agree as follows:
SECfION I
VECfREN agrees and covenants to the following:
To provide a complete and detailed drawing of the work that will be required by Vectren to adjust,
remove, alter and/or relocate its facilities in a manner that will allow Vectren to maintain and
operate its facility in an approved and acceptable manner, said drawing is referenced above and
attached to this agreement as Exhibit "A".

To complete with its regular construction or maintenance crew and personnel at its standard
schedule of wages and working hours, or by a Vectren approved contractor(s), the necessary
adjustments, removals, alterations and/or relocations to its existing facilities as shown in Exhibit
"A". The preliminary cost estimate thereof being $ 11,649.00, as shown on the estimate attached
hereto and marked Exhibit "B" which said Exhibit "B" is hereby made a part of this agreement.
To keep accurate and complete records of all the work and charges required to complete the work
detailed in Exhibit "A" and to make these documents accessible to the City of Carmel or their
auditors for a period of (3) three years from the date final payment is received by Vectren.
Should these records be audited and discrepancies found that resulted in an overpayment
by the City of Carmel, such over payment refund shall be authorized for repayment to the
City of Carmel v.~thin 60 calendar days from the day the discrepancy is discovered, provided
that both Vectren and the City of Carmel concur that an over payment has been made.
To provide to the City of Carmel a written explanation if the total project charges exceed the
estimated project estimate shown in Exhibit "B" said written explanation mil be pro\~ded to the City
of Carmel in a timely manner though it is to be understood that some project discrepancies may not
be identified until the time of final billing.
SECfION II
The City of Cannel agrees and covenants to the following:
To reimburse to Vectren the actual cost incurred by VECTREN to make the necessary adjustments as
detailed in Exhibit "A" of this Agreement that good faith estimated amount being $11,649.00. Such
costs v.~ll be summarized and presented to the City of Carmel in a form similar to that shown in
Exhibit "B". The City of Carmel agrees that payment to VECTREN \,~ll be made \vithin 60 calendar
days, in one lump sum payment, from the date the request for payment is received.
SECfION III Neither VECTREN nor the City of Carmel, its contractor(s) nor
subcontractors, if any, shall discriminate against any employee or applicant for employment, to be
employed in the performance of this contract, mth respect to his hire, tenure, terms, conditions or
pri\~leges of employment, or any matter directly or indirectly related to employment because of his
race, color, religion, national origin or ancestry. Breach of this convening may be regarded as a
material breach of the contract.

with all necessary and convenient valves. drips. service pipes, lines and connections attached thereto,
and to operate by means lhereof a system for the distribution and transportation of gas to be used for
light, heat, power and other purposes. in, upon, along and over the Grantor's land hereinafter described,
and the right to cut and trim trees, bushes. saplings and vines growing upon said land, insofar as it
may reas,?nably be necessary so to do in the construction and efficient operation of said gas transpor-
tation and distribution system, and also the right of acceSs to and egress from the said land, which is situated in

Beginning at the northeast corner of the west half of the Northwest
Quarter of Section 27. Township 18 North. Range 3 East, being the
northeast corner of grantors 10.346 acre tract as conveyed by deed
recorded in deed record 351 page 871. dated September 20, 1985, in
the Hamilton County Recorders Office, thence southerly along grantors
east line 21.5 feet to the point of beginning of the centerline of
the 15 foot wide easement described herein. Thence west along said
easement centerline and parallel with grantors north line 500 feet to
the point of terminus.
The Grantor also hereby grants to the Grantee a perpetual easement as
described above in, upon, along, and over that portion of the
Grantor's land (if any) which lies between the north line of the
easement described above and the south right of way line of 136th
Street, also known as Smokey Row Road.
In accordance with Indiana Code 32-5-2-2, Section 2; Grantors
acquired real property under Warranty Deed dated September 20. 1985,
and placed of record at Deed Record 351. page 871. in the .office of
the Recorder of Hamilton County. Indiana.

Said gas mains shall be placed not less than ...30...... inches below the surface of the ground; and the
Grantor hereby reserves to himself, and his heirs or assigns, the use of the surface of the above described
land insofar as such use is not inconsistent with the easement hereby granted. ..
Any damage to the growing crops, fences or tile of tile Grantor or of his tenants, heirs and assigns, caused
by the Grantee in the original construction, maintenance, repair, renewal or removal of said mains. shall be
.promptly paid by the Grantee, provided written notice thereof is given to the Grantee at its Indianapolis offices,
or such place as the Grantee may designate, within thirty (30) days after the occurrence of such damage.
