Dear Mayor Brainard:
As. you are aware, Farrar, Garvey &.Associates, LLC ("Farrar") is a party to one or more
agreements (the "Agreements") between the Carmel.Board of Works and' Farrar, Garvey. &
Associates, LLC. As'of,July.28; 2007,'Farrar hasaransferred,.subjectto the receiprof_required
consents, certain assets- and.liabilities to Clark.Dietz, Inc., ("Clark Dietz") (the ".Transaction")., In
connection with• the Transaction, Farrar is required to assign the Agreements to Clark Dietz, and
'Clark ,Dietz will assume and perform Farrar's obligati ons thereunder.
Accordingly; Farrar requests that you, by countersigning,this notice where indicated below:
(i). • consentto.the assignment to and assumption by Clark , Dietz of-Farrar's rights.and
obligations under '.the. Agreements, to the extent such rights and, obligations "relate
. to the period from and after July 28, 200,7;;and;
(ii) agree; and acknowledge that the Transaction will not-'be deemed a:bieacti of or
default under any provisions' •of the- Agreements, rand will not cause the
termination of, or otherwise. modify or affecf the Agreements.

matters- and fax.to my attention at 31.7-844-91H. In addition, please forward one, original to
Clark Dietz in the enclosed, pre-addressed stamped envelope. A copy of this letter is- enclosed
for.your files:
