In order to satisfy the preceding objectives, KSM will:
? Complete discussions with Brookshire's management to obtain an understanding of thc.
current objectives. responsibilities and processes.
o Conduct discussions with the employees ofthe Mayor`s Oftice'and Clerk Treasurer's
Office to obtain an understanding of the current objectives. responsibilities and processes.
? Review policies, procedures and controls that have been implemented.
?j Prepare a report documenting the findings noted during our review, and
recommendations for improving the effectiveness of Brookshire.
Develop a financial reporting package designed to monitor the operations at Brookshire
and assist in its management.
KSAVS7 Rexporrsihilities
u KSNI will identify and select qualified consultants to complete the defined services.
? KSM will develop a project plan that is mutually agreed to by the City of Carmel and
KSM, and will provide staff as defined in the plan.
KSM will not disclose any proprietary information of Brookshire or the City of'Carmel to
any third parties without the permission of the City of Cannel.

communications related to this engagement.

!'reject StnjTng andEstirnnted Fees
This project will be scheduled for start after KSM has received a.signed copy of this proposal.
However, we expect that our staff will be on site within two weeks of your approval.
The success of any project is directly related to the experience and skill level of the personnel
completing the project. Given the importance of this project to the success of Brookshire we will
assign a team that is experienced in the organizational issues, accounting responsibilities and
processes consistent with those at Brookshire.
Our fees for consulting services are based on the actual time we spend and are billed at our
normal hourly billing rates, which are determined by the degree of skill required to complete the
work. Our total fcc will vary depending on the final definition of the project, the scope of
services to be provided by KSM and the commitment of internal resources by the City of
Cannel. The hourly rates for the professional positions expected to be assigned to (his project
