REMARKS: Mr. Larry Kleinman, Pastor, telephoned in response to the message I had left. I explained that I
am assisting the City of Carmel with the acquisition phase of the Keystone Parkway project and need to present
a monetary offer for the required right -of -way. I provided Mr. Kleinman the option of meeting for the presentation
of the offer or having it mailed via certified mail. He opted for mailing and confirmed ownership and their mailing
address. Consequently, the offer and related information were mailed via "Certified mail, Return Receipt
Requested on November 19, 2008, with a date of delivery on November 20, 2008. Included within the packet

REMARKS (Cont'd): Form, the Accounts Payable Voucher, the "Request for Taxpayer Identification Number
and Certification (Form W -9), and the "Owner's Private Appraisal Letter The Uniform Property or Easement
Acquisition Offer letter, in accordance with I.C. 32 -24 -1, provides only 30 days from its receipt to accept or reject
the City's offer. The 30 days may be waived and the offer accepted or rejected now or at anytime during this
period. It was also indicated that the legally protected rights and options under Indiana's eminent domain law are
set forth on page two of the Uniform Land or Easement Offer Letter, as well as within the booklet, "ACQUISITION,
Acquiring Real Property for Federal and Federal -Aid Programs and Projects It was explained that typically, the
City makes payment within 90 days after receiving the secured parcel file from the consultant and Indiana law
dictates that possession of the property will transfer to the City thirty (30) days after payment is received. The
introductory letter mailed in conjunction with the offer explained that the project is to improve N. Keystone
Parkway, 116 Street, and Carmel Drive. More specifically, a portion of the subject property is required as
permanent right -of -way with partial limitation of access. The permanent acquisition, known as Parcels 57 and 57A,
contain a total of 0.248 acres. As explained in the form, "Owner's Private Appraisal Letter the owner or a
representative may submit an independent appraisal for review at their own expense. The forms /documents
requiring signatures and notarization were indicated. The owner was encouraged to call with any questions or to
schedule an appointment.

REMARKS: Mr. Morris Irwin telephoned. The project was discussed. He stated that the compensation to
relocate their sign is not adequate as it did not include relocating the base of the sign. He also inquired of the
distance of their sign from the proposed right -of -way. He stated that the cost to relocate both of their signs would
be $24,000.00. Mr. Irwin inquired where the lame electric box would be relocated. A meeting was later scheduled
for December 3, 2008.
12/3/08 (9:00 am) At the prearranged time, I met with Mr. Kleinman, Mr. Irwin, and several others from the church
along with Jeremy Kashman for the City of Carmel. The project was discussed and the plans reviewed specifically
as it affects the subject property. The relocation of their sign located at the corner of Carmel Drive and Keystone
Avenue was discussed and the possible sites to relocate it. It was determined that the sign located on Carmel
Drive near the entrance of the church is not within the proposed right -of -way. A letter was requested providing
written assurance that the sign will remain in its current location and also should the sign become damaged during
construction it would be replaced or repaired. Concern was expressed regarding several memorial trees and the
impact construction would have on them.

REMARKS: I spoke with Mr. Irwin. He stated that they believe that the compensation offered is not reflective
of market value. I explained that should they not agree with the value, they could obtain an independent appraisal,
which would be at their expense and does not guarantee an increase or adjustment. Other options would be to
provide comparable sales or they could verbally provide a counter. Mr. Irwin stated that he would be forwarding
their requests /concerns.
I received a counter dated January 13` It included: 1.) five land sales of an average of $158,285.00 per acre thus
requesting $39,255.00 for the 0.248 acres of proposed right -of -way, 2.) an estimate to relocate the sign at the
corner of Carmel Drive and Keystone Ave. in the amount of $12,000.00 and a letter stating the City's approval for
the its new location, 3.) a letter from the City stating that the location of the sign located at Carmel drive is
acceptable and should it be damage during construction it will be replaced. 4.) a request for an additional
$4,500.00 to re- landscape around the church's entrance sign, 5.) a request for an additional $6,500.00 to replace
trees and additional costs for watering and fertilizing to ensure their survival, 6.) an agreement for the placement

REMARKS (Cont'd): of the new utility box, or boxes, in a location(s) that will not interfere with the visibility of the
their signage, 7.) assurance from the City that reasonable precautions will be taken to protect the memorial trees
and should any die the costs to replace them will be indemnified, 8.) landscaping maintenance at $1,000.00 per
month for a period of 6 months. The counter was forwarded for the City's review /consideration.
The City's response was as follows; 1.) No additional compensation for land value, 2.) Approved an additional
$10,725.00 for a total of $12,000.00 to relocate the sign located at Carmel Drive and Keystone Avenue, 3.) no
compensation for the sign itself. However, a letter will be provided stating that its current location is acceptable,
4.) approved an additional $4,560.00 for landscaping, 5.) no additional compensation other than the amount in
item number 4. for landscaping, 6.) appears the location for the utility boxes will remain the same, 7.) will
coordinate construction to stay away from trees and will have arborist review and advise working in these areas
but will not provide assurance for 5 years, 8.) the City will not compensate for new landscaping maintenance.
Mr. Irwin later provided an estimate to relocate (3) Serbian Spruce (memorial trees) in the amount of $1,350.00.
This estimate was forwarded for the City's consideration. The estimate was approved. I contacted Mr. Irwin and
explained that the City had approved a total increase in the amount of $16,635.00. Mr. Irwin is to discuss the City's
counter with the church and let me know.

REMARKS: The Executive Team of St. Peter's United Church of Christ meeting on April 1, 2009, to consider the
City of Carmel's verbal offer of $48,285.00 for the proposed acquisition. They provided the following
issues /concerns: 1.) They contend that the City's counter offer does not adequately compensate them for their
mature trees that will be lost. They are requesting a total offer of $55,000.00. City's response approved an
additional $1,715.00 for a total of $50,000.00. As discussed, I explained that the trees are based on their
contributory value not replacement cost. 2.) They expressed concern that their sign at the Carmel Drive entrance
will be damaged during construction and requested documentation from the City assuming liability for damage.
City's response They will provide documentation assuming liability for potential damage to the sign during
construction, 3.) They expressed concern for possible root damage to their memorial trees. The City will have the
Memorial Trees monitored for 2 years. 4.) They requested assurance that should the utility box be relocated, it
will not negatively impact the aesthetics of the landscape. City's response The City is unable to provide a
stipulation that St. Peter's Church be consulted should there be any change. The Utility Company is separate from
the City.

Subsequently, the revised forms /documents reflecting the administrative settlement along with the two letters from
the City addressing the owner's concerns regarding their sign were provided to Mr. Irwin. The letter from the City
of Carmel addressed the owner's request for confirmation regarding the sign located at Carmel. It stated that as
the sign is located outside of both existing and proposed right -of -way and should be unaffected. However, in the
event of damage to the sign, it would be necessary for St. Peter's Church to file a claim with the contractor as the
City of Carmel cannot assume liability for the damage. It was also explained the sign could remain in its current
location and classified as a Legal, Non Conforminq Sign. In the event the sign is damaged and must be replaced,
the new sign must be in conformance with the Sign Ordinance regarding all aspects of the sign, including its
distance from the right -of -way line. Ms. Melissa Stanifer telephoned. A meeting was scheduled for Thursday, May
7th for the execution of the documents.

REMARKS: At the prearranged time, I met with Melissa D. Stanifer, President and J. Elaine Akermann, Secretary,
along with Jeremy Kashman with the City of Carmel. The revised forms /documents were provided. It was requested
that an agreement be provided to the church addressing the memorial trees, which are to be monitored for two (2)
years. The Title and Encumbrance Report indicated four (4) mortgages. Each were cleared and included within the
secured file. The Release of Mortgage for TriCapital, LLC, included a check in the amount of $12.00 to the Hamilton
County Recorder for the recording of the document. Upon receipt of the letter from Mr. Kashman, which provides
assurance that the City will continue to monitor the memorial trees for a period of two (2) years, it was forwarded to
Ms. Stanifer along with the Receipt of Conveyance Instrument.
