REMARKS: I contacted Ms. Anne Schwartz, President of the Waterford of Carmel Homeowner's Association,
Inc., and explained I am assisting the City of Carmel with the acquisition phase of the Keystone Parkway Project.
In conjunction with the project, an offer needs to be presented for the purchase of the additional permanent (fee
simple) right -of -way needed for the project. Ms. Schwartz preferred that the offer packet be mailed to her attention

REMARKS (Cont'd): the "Owner's Private Appraisal Letter The Uniform Property or Easement Acquisition Offer
letter, in accordance with I.C. 32 -24 -1, provides only 30 days from its receipt to accept or reject the City's offer.
The 30 days may be waived and the offer accepted or rejected now or at anytime during this period. It was also
indicated that the legally protected rights and options under Indiana's eminent domain law are set forth on page
two of the Uniform Property or Easement Offer Letter, as well as within the booklet, "ACQUISITION, Acquiring
Real Property for Federal and Federal -Aid Programs and Proiects It was explained that typically, the City makes
payment within 90 days after receiving the secured parcel file from the consultant and Indiana law dictates that
possession of the property will transfer to the City thirty (30) days after payment is received. The introductory letter
mailed in conjunction with the offer explained that the project is to improve N. Keystone Parkway, 116 Street, and
Carmel Drive. More specifically, a portion of the subject property is required as permanent right -of -way. The
permanent acquisition, known as Parcels 54 and 54A, contain a total of 0.120 acres. As explained in the form,
"Owner's Private Appraisal Letter the owner or a representative may submit an independent appraisal for review
at their own expense. The forms /documents requiring signatures and notarization were indicated. Ms. Schwartz
was encouraged to call with any questions or to schedule an appointment.

REMARKS: Ms. Anne Schwartz requested a meeting and which was scheduled for November 19, 2009. As
Gina Hansen was unavailable, Ms. Elizabeth Sullivan, her associate, attended the meeting. Jeremy Kashman was
present as a representative for the City of Carmel. Those present representing the Waterford of Carmel
Homeowners Association (HOA) included: Anne Schwartz, Bob Kaufman, Dennis Paige, John Wilfert, Bill Moore,
and Judy Davis. Jeremy Kashman answered questions pertaining to the planned construction seasons and
funding. The project was discussed in detail, specifically as it affects the subject property. Representatives of
the HOA were mainly concerned about the value of the land, the irrigation system being affected, the light poles
within the acquisition area, and the landscaping including the trees and wooden fences. The appraisal report was
discussed and the value of the land improvements being affected. Mr. Kashman explained that a portion of the
irrigation system is located within the existing right -of -way and thus, not included in the compensation offered.
He suggested that the Buyer contact the irrigation contractor and attempt to obtain a sketch of the existing system
to better give an idea of what is to be affected. The appraisal report did include compensation for large trees and

REMARKS (Cont'd): shrubs being acquired as a part of the project. The HOA contends that the amount included
is not sufficient to replace what is being lost. It was explained that the appraiser is required to compensate based
on contributory value not replacement cost. However, Mr. Kashman explained that the City has plans to replant
in the area to be City property. He agreed to contact an arborist to discuss a plan. The HOA requested dense
trees to replace those being lost. Additionally, they want to have an input on what is put back in that area. With
regard to the lights, Mr. Kashman stated that he believes two lights on Carmel Drive should not be affected by the
project. The third light will possibly be relocated or the City's lights may come down that far. Mr. Kashman is
confirm which lights are to be affected. The HOA requested that all correspondence continue to be through Ms.
Anne Schwartz, the President of the HOA.

REMARKS: I contacted Ms. Anne Schwartz to inquire of the status of the offer presented. She explained that
she their attorney, Bill Moore, is to draft a response letter to present to the City of Carmel. They believe the offer
is low and some issues have not been addressed adequately.
12/9/09 A letter was received from the HOA and signed by Anne Schwartz, President, and William C. Moore,
Secretary. The letter states that the HOA is rejecting the offer due to their belief that the offer is inadequate.
12/15/08 (9:30 am) I contacted Ms. Schwartz subsequent to receipt of the letter. I explained that the City would
like to work with them to reach an amicable solution. Ms. Schwartz stated their concerns /requests:
The irrigation system will cost approximately $14,000 to relocate.
Will the lights within the existing right -of -way be relocated as part of the project?
Is there a proposed landscape plan in place. If not, the appraised value of the landscaping is low.

REMARKS: Ms. Anne Schwartz and I spoke regarding the project and issues being addresses. I explained that
I had received the irrigation sketch from the appraisers and will be contacting Dave Rushing to discuss the
estimate provided. I also explained that according to Jeremy Kashman, the two lights just west of Waterford Lane
will not be disturbed. The remaining lights will be removed as part of the project. City light(s) will be placed in this
area. We discussed the landscaping issue. As a landscape design plan is not available for that area, it was
decided that Jeremy Kashman would provide a letter for the HOA as assurance that landscaping will be plants.
Ms. Schwartz stated that they are still waiting on the letter from Jeremy Kashman. The value of the real estate
was discussed. I explained that I was unsure how they arrived at the $13,500.00 counter included in their January
26, 2009, letter. The City's appraisal concluded a value of $85,000 per acre. The per acre prices of the
comparables within the appraisal report averaged $85,730.00 per acre. She is to check with others and let me
know.

REMARKS: I forwarded a letter to Ms. Anne Schwartz dated June 5, 2009. I addressed each issue /concern
as follows:
REAL ESTATE: Compensation totaling $13,500.00 was requested "based upon the average of
comparable purchases provided by the City The comparable sales utilized within the appraisal report
average to be $85,730.00 per acre, which would equate to a rounded compensation of $10,300.00.
LANDSCAPING: A draft of a letter from Jeremy Kashman, the Keystone Project Manager, is enclosed,
explaining the City's position regarding the landscape issue.
IRRIGATION SYSTEM: The proposed construction project is to only affect that portion of the irrigation
system located west of Lot 61's east property line and within the proposed acquisition area. Dave Rushing
with A R Landscaping, Inc., provided a revised estimate totaling $7,600.00 to repair and correct the
irrigation system to be affected by the construction project.

REMARKS: Ms. Schwartz and I discussed my letter dated June 5, 2009. She inquired if the City would be
willing to administratively settle the parcel for $25,751.00. This would include an additional $1,650.00 for the land
and $7,600.00 for the relocation of the irrigation system. The City later agreed and revised forms were forwarded
to Ms. Schwartz indicating the administrative settlement.
8/12/09 The HOA met and all pertinent forms /documents were signed and notarized. The following day, Jeremy
Kashman met with Ms. Schwartz and received the executed documents. An existing mortgage was indicated in
the Title and Encumbrance Report. A Release was obtained to indicate its satisfaction and will be recorded along
with deed. A copy of the Release and the Receipt of Conveyance Instrument form was later mailed to Ms.
Schwartz.
