THIS INDENTURE WITNESSETH That BDC /Cardinal Associates, LP, an Indiana
Limited Partnership (hereinafter, "Grantor hereby gives and dedicates to the City of Carmel,
Indiana (hereinafter "Grantee for public right -of -way purposes, the real estate described on
Exhibit "A" attached hereto and made a part hereof.
This Dedication is made subject to all easements, agreements, restrictions and rights -of-
way of record and is not subject to the Indiana Corporate Gross Income Tax.
IN WITNESS WHEREOF, Grantor has executed this Dedication as of the first day of
