Main St/1st Ave NW/2nd Ave NW - Carmel Lofts LLCAPPROVED bi'b � Q 2009037933 ENCROACHME $43.00 06/23/2009 10:00:22A 17 PGS Jennifer J Hayden HAMILTON County Recorder IN Recorded as Presented CONSENT TO ENCROACH AFP[lOVE.D AS TO FORM BY THIS CONSENT TO ENCROACH (the "Agreement ") is entered into by and between Carmel Lofts LLC, an Indiana limited liability company (the "Owner ") and the City of Carmel (the "City"), Hamilton County, Indiana, by and through its Board of Public Works and Safety; WITNESSETH: WHEREAS, attached hereto and incorporated herein by reference as Exhibit A is a survey (the "Survey "); WHEREAS, Owner owns in fee simple certain real estate located within the City and comprising what are described in and identified on the Survey as Tract 1, Tract 2, Tract 3, Tract 4 and Tract 5 (collectively the "Real Estate "); WHEREAS, the Survey identifies segments of "Main Street ", "Second Ave NW. ", the "Monon Trail ", "1St St NW. ", and "1St Ave NW." which are contiguous to the Real Estate (collectively the "Contiguous Areas "); WHEREAS, the Owner intends to construct buildings on the Real Estate and, in order to provide lateral support for the buildings while the buildings are under construction, the Owner is desirous of extending tie -backs into the land beneath the Contiguous Areas, which tie -backs (i) will not exceed 150 in number, (ii) will be at a depth of a minimum of 8 feet below grade at the point at which they first enter the Contiguous Areas, (iii) will extend into the Contiguous Areas at an angle which slopes downward at an angle of approximately 30 degrees and (iv) are illustrated on the "Sheeting, Shoring & Retention Plan" prepared by Ram Engineering and Construction, Inc. dated April 10, 2009, comprising 7 sheets and 1 entitled "Cannel Arts Distrcit Lofts and Shoppes 100 Block of West Main Street" (collectively the "Plans "); WHEREAS, a full -sized copy of the Plans have been filed with the City's Department of Engineering and a reduced copy of the Plans are attached hereto and incorporated herein by reference as Exhibit B; WHEREAS, The tie -backs identified in the immediately preceding WHEREAS clause shall hereafter collectively be refered to as the "Tie- Backs "; WHEREAS, the Tie - Backs, installed as set forth above, should not materially interfere with the City's use of the Contiguous Areas; and, WHEREAS, the encroachment of the Tie -Backs into the Contiguous Areas shall hereafter collectively be referred to as the "Encroachments ". NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties mutually promise, agree and covenant as follows: 1. The foregoing preambles, recitations and definitions are made a part hereof as though such were fully set forth herein. 2. The City consents to the Encroachments for only so long as: (i) The Encroachments exist; and (ii) The Owner complies with the terms and provisions of this Agreement. 3. The Owner agrees that City shall have the right to remove any portion of the Encroachments as the City deems necessary, in City's sole discretion, to install, protect and/or repair any utility lines, sewer lines or drainage ditches located in any or all of the Contiguous Areas, or for any other lawful purpose, and that, should the City take such action, the City shall incur no obligation to repair, replace or reimburse Owner for the cost of any damages thereby caused to the Encroachments. 5. The Owner agrees to indemnify and hold harmless City, its officers, officials, members, employees, invitees, licensees and agents, from and against any and all losses, liabilities, damages, claims, judgments, attorney fees and costs arising from any bodily injury and/or death, and from any destruction and /or damage to any property or improvements, located on the Real Estate, or otherwise, which results directly or indirectly from any action or inaction of the Owner and its employees, officers, officials, invitees, licensees and/or agents, regarding or related to the Encroachments. 6. Owner agrees to reimburse City for any and all costs and expenses incurred by City to replace or repair any damage to the Contiguous Areas caused by the installation, construction, maintenance and/or operation of the Encroachments or due to Owner's other obligations, responsibilities, actions or inactions as set forth herein. 7. Owner agrees to record this Agreement in the Office of the Hamilton County Recorder and to provide the City with a recorded copy of same within ten (10) business days from the effective date of this Agreement. In the event this Agreement is not so recorded by the Owner, the Owner agrees to the recording of this Agreement by the City at Owner's sole expense. 3 9. 10. The Owner and the City agree that the terms of this Agreement shall be binding upon and inure to the benefit of their respective heirs, administrators, successors, assigns and tenants. The persons executing this Agreement represent and warrant that they are authorized to enter into and execute this Agreement for and on behalf of the party which they represent. This Agreement shall be effective as of the date on which the last party hereto executes same.
