THIS INDENTURE WITNESSETH:
DEDICATION OF PUBLIC RIGHT -OF -WAY
That CIHS Newco, LLC, an Indiana limited liability company (the "Grantor the fee simple
owner(s) of the real property "Property described in attached Exhibit A, incorporated herein by
this reference, which Property is located in the City of Carmel, Hamilton County, State of
Indiana, hereby dedicates, grants and conveys to the City of Carmel, Indiana "Grantee an
easement for public right -of -way purposes in the Property, subject to all existing easements and
rights -of -way of record, for the sum of One Dollar ($1.00) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged.
The foregoing dedication, grant, conveyance and easement shall continue for as long as the
Property is used by the Grantee for public right -of -way purposes. Upon cessation of such use,
the Property shall revert to Grantor.
This conveyance is not subject to Indiana gross income tax.
IN WITNESS WHEREOF, Grantor has executed this Instrument on the 1 S day of
