THIS INDENTURE WITNESSETH: That Sharry D. Ha erlof Carmel, Indiana, (hereinafter
"Grantor hereby gives and dedicates to the Rosemead Commons Development Co., Inc.
(hereinafter "Grantee for public right -of -way purposes only, the real estate described
in Exhibit "A" hereto.
This Dedication is made subject to all easements, agreements, restrictions and
right -of -ways of record.
This Dedication is not subject to Indiana Corporate Gross Income Tax.

Indiana, its Dedication of Right of Way "Dedication which Dedication is hereinabove
set forth:
AND WHEREAS, The City of Carmel, Indiana, is of the opinion that said Dedication
is desirable and necessary:
NOW THEREFORE, the City of Carmel, Indiana, by the Carmel Board of Public Works
and Safety, under and by virtue of the power conferred upon it by statutes of the State
of Indiana, for and on behalf of the City of Carmel, Indiana, accepts said Dedication and
