Grantee is the owner of certain real property which includes a shopping center commonly known as "Merchants Square Shopping Center" (the "Center located in the City of Carmel, Hamilton County, Indiana, which Center is more particularly described on Exhibit A attached hereto and made a part hereof. B. Grantee is /was the owner of a pylon sign with an electronic reader board located at the northwest corner of 116th Street and Keystone Parkway in Carmel, Indiana (the "Existing Sign which Existing Sign provided advertising for and other benefits to the Center. The Existing Sign was benefited by that certain Easement dated on or around February 28, 1974, and recorded at Book 272, Page 369 of the Public Records of Hamilton County, Indiana (the "Existing Easement C. Grantor is undertaking a road improvement project, the purpose of which is to improve Keystone Parkway, 116th Street and Carmel Drive (the "Improvement Project and the Existing Sign and the Existing Easement are affected by the Improvement Project. D. Grantor informed Grantee that, in order to complete the Improvement Project, it was necessary for Grantor to, and Grantor did/does in fact intend to, acquire fee simple title to the area upon which the Existing Sign is /was located and Grantee's interest in the Existing Easement and the Existing Sign by eminent domain /condemnation if necessary (such proposed action is referred to herein as the "Taking E. To avoid litigation and other undesirable matters associated with the Taking, Grantor proposed to grant to Grantee a new easement (i.e., this Easement) for a new sign (the "New Sign to be constructed upon certain land owned by Grantor, if Grantee released its rights in the Existing Easement and the Existing Sign. In order to avoid litigation and other undesirable matters associated with the Taking, Grantor and Grantee have agreed, among other things, that (i) Grantee shall, on or around the date hereof, release its rights in the Existing Easement, and (ii) Grantor shall grant this Easement to Grantee for the New Sign. Grantor and Grantee have acknowledged that Grantee's actions related to the relocation of the Center's pylon sign shall be deemed to be involuntary actions taken in response to the lawful threat of Grantor to exercise its police power and power of eminent domain/condemnation to effectuate the Taking had Grantee not taken such actions. NOW THEREFORE, in consideration of One Dollar ($1.00), Grantor, owner of that certain parcel of property located in Carmel, Hamilton County, Illinois, as further described on Exhibit B (the "Grantor's Parcel hereby grants to Grantee, its successors and assigns, for their benefit and the benefit of the Center, the perpetual and exclusive right and easement for the construction, reconstruction, replacement, operation, maintenance, use and repair of a pylon sign "Pylon Sign in the area located on the Grantor's Parcel and described and depicted on Exhibit C as "Sign Area" (the "Sign Area and the erection, display, use, maintenance, repair, and replacement of identification sign panels and an electronic reader board on the Pylon Sign; together with a non exclusive easement over and across those portions of the Grantor's Parcel and Grantor's other contiguous property which are reasonably necessary for the performance of such construction, reconstruction, replacement, operation, use, maintenance and repair of the Pylon Sign, identification sign panels and electronic reader board thereon; together with a non exclusive easement on, under, over and across the Grantor's Parcel and Grantor's other contiguous property for the installation, connection, relocation and servicing of power (including without limit power lines) to the Pylon Sign, the electronic reader board and any related lighting or landscaping equipment; and Grantor covenants and agrees that it shall not do anything or permit anything to be done, whether on Grantor's Parcel, Grantor's other contiguous property or otherwise, that would any manner impair the visibility of the Pylon Sign. Grantee shall be responsible for the installation and maintenance of the Pylon Sign, including electrical hookup. All such installation and maintenance shall be at Grantee's sole cost. Grantee agrees to keep the sign and electrical hookup in good repair at all times during which the Pylon Sign is located on Grantor's Parcel. Grantee further agrees to restore Grantor's Parcel and the Sign Area upon completion of such installation and maintenance, at its sole cost, to the same condition which existed prior to the commencement of such work; provided, however, Grantee may install lighting, landscaping and related facilities and equipment within the Sign Area and surrounding areas. Grantor represents and warrants unto Grantee that Grantor owns good and marketable title to the Grantor's Parcel (and the Sign Area), in fee simple, free and clear of any encumbrances and /or restrictions. Grantor represents and warrants unto Grantee that (i) Grantor has the requisite power and authority to grant this Easement and perform its obligations hereunder, (ii) Grantor's signatory hereto has the requisite power and authority to bind Grantor, and (iii) Grantor has obtained any consents and/or approvals necessary to effectuate the foregoing. Grantor shall indemnify and defend Grantee, and hold Grantee harmless, from and against any and all costs, claims, damages, liabilities or other causes of action which Grantee may incur or otherwise suffer as a result of any environmental condition, contamination, clean -up, claim or other liability associated with Grantor's Parcel, unless caused solely by Grantee. OAKLAND. 1646253.2 Grant of Pylon Sign Easement This Easement shall be binding upon Grantor and its successors and assigns and shall inure to the benefit of Grantee and its respective successors and assigns, and shall run with the land. Nothing herein shall obligate Grantee to erect the Pylon Sign or continuous keep the Pylon Sign erected on Grantor's Parcel; provided, however, Grantee shall have the right to do so as provided herein. This Easement shall not terminate as a result of Grantee's non -use or for any other reason unless Grantee executes a written instrument terminating or discharging this Easement. Grantee shall have the right to relocate the Pylon Sign to another location on the Grantor's Parcel subject to Grantor's prior consent, which consent shall not be unreasonably withheld, conditioned or delayed. This Easement shall be governed and construed in accordance with the laws of the State of Indiana. If any provision of this Easement or the application thereof to any person or circumstance shall, to any extent be invalid or unenforceable, the remainder of this Easement shall not be affected thereby and each provision of this Easement shall be valid and enforceable to the fullest extent permitted by law.
