THE GRADLES II, an Indiana partnership "Grantor and THE CITY OF CARMEL,
INDIANA, by and through its Board of Public Works and Safety "Grantee hereby enter into the
following easement agreement:
1. Subject Matter. Grantor is the owner of the real estate described in a certain Deed dated
November 5, 1992, and recorded in the Office of the Recorder of Hamilton County, as Instrument No. 924
3535. Grantor desires to create, upon the terms and conditions provided herein, a landscape easement for
the benefit of Grantee.
2. Easement Grant. For good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, Grantor hereby declares, grants and conveys a perpetual, nonexclusive right and
easement in, over, under, through and across the Easement Property for the installation, use, maintenance,
repair and replacement of landscape items, including, but not limited to, trees (the "Landscape Items all
as are depicted on attached Exhibit, which is incorporated herein by this reference (the "Landscape Plan
Such easement grant shall include the right of ingress and egress in, over, under, through and across the
Easement Property for the installation, repair, replacement and maintenance of the Landscape Items.
Grantor reserves the right to use the Easement Property for any use not inconsistent with the rights
granted herein.
3. Use and Maintenance. Grantee shall use the Easement Property only for the purposes set
forth herein and for no other use or purpose. Grantee shall landscape the Easement Property in
accordance with the Landscape Plan and maintain the Landscape Items in good condition and repair.
Subject to paragraph 2 hereinabove, the maintenance of the Landscape Items shall be the responsibility of
the Grantee, at Grantee's sole cost and expense. Such maintenance shall include the removal and
replacement of the Landscape Items as needed. Except as otherwise set forth herein, the maintenance of
the Easement Property shall be the responsibility of Grantor, at Grantor's sole cost and expense. The
Easement Property shall be maintained in good condition and repair.
4. Easement Appurtenant. This easement agreement and the terms and conditions stated
herein shall be appurtenant to, imposed upon, applied to, and run with the Easement Property and shall be
binding upon and inure to the benefit of Grantor and Grantee and their respective heirs, executors,
administrators, officers, officials, agents, partners, legal representatives, trustees, successors and assigns.

5. Modification. This easement agreement may only be terminated, modified, or amended by
a writing signed by the Grantor and the Grantee, or their successors in interest, and no agreement or
consent of any other persons shall be necessary for such termination, modification or amendment thereof,
provided, however, that in the event a mortgage lien exists on all or any portion of the Easement Property,
consent of the mortgage lender shall be obtained prior to said modification, termination or amendment,
which consent may not be unreasonably withheld, conditioned or delayed.
6. Governing Law. This easement agreement shall be governed by and construed in
accordance with the laws of the State of Indiana.
