Mitchel as Co- Trustees under an Irrevocable Farm Trust dated December 9, 1985, such Utility Easement being dated
May 10, 1987 as instrument number 8711223 and recorded on May 14, 1987 in the Office of the Recorder of
Hamilton County, Indiana. The undersigned further assigns herewith all rights, title, obligations and interest in the
Agreement to Furnish Utility Service dated May 10, 1987 and attached to such Utility Easement.

ASSIGNMENT OF EASEMENT
THIS INDENTURE WITNESSETH, That HAMILTON WESTERN UTILITIES, INC. an
Indiana corporation, (hereafter, "Grantor ASSIGNS, SETS OVER, TRANSFERS, CONVEYS
AND WARRANTS to the CITY OF CARMEL, INDIANA "Grantee for the sum of Ten Dollars
($10.00) and other valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, all of Grantor's interest in and to the Utility Easement filed for record on April 27,
1998 with the Hamilton County Recorder under the Record Number 9809821673 (the "Easement
located within Clay Township, Hamilton County, Indiana. Provided, however, that this instrument
conveys to Grantee Grantor's rights in and to the Easement as it relates to sewer utility service only,
and this instrument shall not convey any easement rights for water service. Any such rights and
interest for water service shall be reserved unto Grantor.
Subject to the limitations of Paragraph 5.5.d. of the Purchase Agreement as amended by the
Addendum to Purchase Agreement and Amendment to Wastewater Service Agreement, Grantor
warrants and represents to Grantee that Grantor has good and marketable easement rights in the
Easement free and clear of all liens, claims and encumbrances except real estate taxes which are not
yet due and payable.
The undersigned person executing this instrument on behalf of Grantor represents and certifies
that such person is a duly elected officer of Grantor and has been fully empowered, by proper
resolution of the Board of Directors of Grantor, to execute and deliver this instrument; that Grantor,
has full corporate capacity to assign and convey the easements described herein; and that all necessary
corporate action for the making of such assignment has been taken and done.
