INDOT Agreement Concerning Coordination and Revisions to US 31 Project. RESOLUTION NO. BPW-10-17-12-01 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY RATIFYING MAYORAL SIGNATURE ON CONTRACT WHEREAS, the executive officer of a municipality has the right and authority under Indiana law to enter into contracts on behalf of the municipal corporation; and WHEREAS, due to the exigencies of time, City of Carmel Mayor James Brainard executed that certain Agreement Between the Indiana Department of Transportation and the City of Carmel Concerning Coordination and Revisions to the U.S. 31 Project with the State of Indiana Department of Transportation. ("Agreement"), attached and incorporated herein as Exhibit "A"; and WHEREAS, the City of Carmel Board of Public Works and Safety now desires to ratify the above actions of Mayor Brainard and to adopt the same as the act of the Board. NOW, THEREFORE, BE IT RESOLVED by the Board of Public Works and Safety of the City of Cannel, Indiana, that: 1. The foregoing Recitals are incorporated herein by this reference. 2. The actions of Mayor James Brainard in executing the Contract are hereby ratified and such actions are hereby approved and adopted by the Board as its own. RECITALS WHEREAS,pursuant to a Road Transfer Agreement executed October 5,2007 (EDS No. A249-8-320222), Carmel currently exercises maintenance jurisdiction over Keystone Parkway (formerly S.R. 431)from its southern terminus at the southern boundary of 96th Street north to its northern terminus at approximately 3,400 feet north of 136th Street ("Keystone"), all within Carmel's corporate boundaries in Hamilton County, Indiana, and incurs all expenses of improvement,repair,upkeep,regulation and maintenance of Keystone Parkway;and WHEREAS, INDOT is planning major construction projects to improve vehicular traffic flow on U.S. 31 between 216th Street and 96th Street in Hamilton County("U.S. 31 Project"), and may close certain intersections in Carmel during the U.S. 31 Project to accelerate construction and save money;and WHEREAS, the U.S. 31 Project will cause traffic to be detoured onto Keystone and other local roads,which will result in some additional wear and tear on these local roads;and WHEREAS, to build the U.S. 31 Project at the best value for Indiana taxpayers while a• maintaining the free flow of north-south traffic in Hamilton County, INDOT and the CITY desire to cooperate in funding and accelerating construction of certain enhancements to local roads; NOW THEREFORE, in consideration of the premises and the mutually dependent covenants herein contained,the Parties hereto agree as follows: 1.1. Interpretation. The Preamble and Recitals recorded above are incorporated by reference into this Agreement. All captions,section headings,paragraph titles and similar items are provided for the purpose of reference and convenience and are not intended to be inclusive, definitive or to is affect the interpretation of this Agreement. i I 1.2. Minor Work on Keystone Parkway, Other Local Roads. In consideration of the transportation projects to be constructed and funds transferred in accordance with the terms of this Agreement, the CITY agrees that neither the CITY nor any of its agents, employees, 1 - i + is • .. FINAL VERSION FOR EXECUTION—9/12/2012 jf contractors or officials shall perform or allow to be performed any construction, maintenance or other improvement work on Keystone Parkway or any other road under the CITY's jurisdiction that could interfere with the Traffic Management Plan for the U.S.31 Project,particularly during closures of portions of U.S. 31 in Hamilton County. For purposes of clarity and to avoid misunderstanding, any action that impedes or adversely affects the flow of diverted traffic or ( decreases mobility on local roads shall be considered to be interference with the Traffic • Management Plan. Minor projects, which may include shoulder widening or signal work, will not be considered to violate the requirements of this Section 1.2. 1.3. Changes Requested by the CITY on U.S. 31 Project. INDOT agrees to design and construct the elements described in this Section 1.3 to the U.S. 31 Project at its sole expense. INDOT will allow the CITY to review INDOT's design revisions for these elements; however, the CITY understands and agrees that INDOT shall make all final decisions concerning project design, construction and specifications. INDOT will design, engineer, let, manage, administer • { and supervise the U.S. 31 Project in accordance with applicable laws and INDOT policies, procedures and specifications. In the event that these elements are designed and constructed for less than the respective estimated costs, INDOT shall retain the benefit of such cost savings. Under no circumstances shall INDOT make any additional payment (notwithstanding the payment described in Section 1.5 of this Agreement)or incur any other liability to the CITY. A. Interchange at U.S. 31 and 116th Street. As requested by the CITY, INDOT will revise the current plans for the U.S. 31 Project to include a roundabout interchange instead of a diamond interchange at U.S. 31 and 116th Street. INDOT will allow the CITY to review INDOT's design revisions for the interchange; however, the CITY understands and agrees that INDOT shall make all final decisions concerning project design,construction and specifications. An illustration of preliminary design of the interchange is attached as Iifii`lAnd herein incorporated by reference. INDOT will construct the roundabout interchange as part of the U.S. 31 Project. INDOT estimates that the change to a roundabout interchange will result in an additional cost of ONE MILLION DOLLARS ($1,000,000.00)to the U.S.31 Project. B. Intersection at 116th Street and Pennsylvania Street. As requested by the CITY,INDOT will revise the current plans for the U.S. 31 Project to include a roundabout intersection at 116th Street and Pennsylvania Street. INDOT will allow the CITY to review INDOT's design revisions for the intersection; however, the CITY understands and agrees that INDOT shall make all final decisions concerning project design, construction and specifications. An illustration of preliminary design of the interchange is attached as b i and herein incorporated by reference.INDOT will construct this intersection as part of the U.S. 31 Project. INDOT estimates that the change to a roundabout intersection will result in an additional cost of ONE MILLION FIVE HUNDRED THOUSAND DOLLARS ($1,500,000.00) to the U.S. 31 Project. After construction is complete,the Parties agree that maintenance jurisdiction over the roundabout intersection shall revert back to the CITY. C. Interchange at U.S. 31 and 106th Street. As requested by the CITY, INDOT will seek approval from the Federal Highway Administration (FHWA) to revise current plans at -2- FINAL VERSION FOR EXECUTION—9/12/2012 U.S. 31 and 106th Street to construct a roundabout interchange. If FHWA approves INDOT's Interchange Justification request, INDOT will design and construct a • roundabout interchange at U.S. 31 and 106th Street. INDOT will allow the CITY to review INDOT's design revisions for the interchange; however, the CITY understands and agrees that INDOT shall make all final decisions concerning project design, construction..andspecifcations.An illustration of preliminary design of the interchange is attached as hibi C > nd herein incorporated by reference. INDOT estimates that the • change to a roundabout interchange will result in an additional cost of ONE MILLION DOLLARS ($1,000,000.00)to the U.S. 31 Project. However, if FHWA does not approve INDOT's Interchange Justification request, INDOT shall construct the interchange at U.S. 31 and 106th Street as originally designed, and shall have no further liability or responsibility to the CITY under this Section 1.3(C). D. Enhancements to U.S. 31 Project. INDOT will revise current plans for the U.S. 31 Project to include upgrades or enhancements to lighting,railings, and pedestrian facilities requested by the CITY as shown and described inVitti if to this Agreement(attached and herein incorporated by reference). INDOT estimates that these upgrades and enhancements will result in an additional cost of approximately TWO MILLION SIX HUNDRED SIXTEEN THOUSAND DOLLARS ($2,616,000.00). 1.4. Additional Work on Keystone Avenue near 96th Street. INDOT has completed additional repairs to lighting, signage, signals, and portions of the pavement surface originally planned as part of INDOT's 1-465 interchange modification project (part of Contract No. IR-30155). INDOT has incurred costs totaling approximately SIX HUNDRED THOUSAND DOLLARS ($600,000.00)in completing these repairs. 1.5. Right of Entry on CITY Property. The CITY hereby grants INDOT permission to enter and work on any CITY-owned or maintained right-of-way or other property as needed to accomplish the work described in Sections 1.4 and 1.9 of this Agreement, to construct the elements described in Section 1.3 of this Agreement, or to construct any other part of the U.S. 31 • Project. 1.6. Acquisition of Property near 1 l lth Street. In order to accommodate the CITY's planned upgrades to Illinois Street,INDOT has had to expand project Iimits near the 111th Street overpass and add items to the U.S. 31 Project (including drainage structures, ditches, curb, gutter, sidewalks, driveway and roundabout approach pavement), which has resulted in the need to acquire some additional right-of-way. As the CITY is already acquiring right-of-way for its Illinois Street project in an area adjacent to the additional right-of-way INDOT needs,the CITY agrees to acquire and dedicate as public right-of-way the areas described in Eji obit.!E-:tb.this Agreement(attached and herein incorporated by reference)at its expense. 1.7. Access to Parcel 62 from Illinois Street, In order to limit access issues and maximize potential land use near Illinois Street,the CITY agrees to provide the land known as Parcel 62 in INDOT project records (shown and described hug/0010 to this Agreement, attached and herein incorporated by reference) with access suitable for commercial use to Illinois Street as part of its planned Illinois Street Project in accordance with the Planned Unit Development -3 - FINAL VERSION FOR EXECUTION--9/12/2012 Resolution adopted by the CITY for the area known as the Bridges Development. The commercial access provided to Parcel 62 shall be sufficient to accommodate any commercial use or development of the property that would be permitted under applicable CITY zoning ordinances and other state law governing land use. 1.8. Compensation for Official and Unofficial Detours. In accordance with the terms of Sections 1.10 and 2.14 of this Agreement, INDOT will provide non-federal funds in the amount of FIVE MILLION DOLLARS ($5,000,000.00)to the CITY as full and complete compensation for any and all repairs needed to any CITY roads or other facilities or for any diminution in value or reduction in useful life of any CITY roads, structures, facilities or other assets in any manner attributable to the U.S. 31 Project. Provided that the CITY's actions comply with all applicable state or federal laws, the CITY may record or hold funds paid under this Section in any CITY account(s) it chooses; however, the CITY agrees and acknowledges that INDOT provides the funds under this Section 1.8 for the purposes described in this Section 1.8. 1.9. Closure of Intersection at Keystone Parkway and 98th Street. If the CITY desires INDOT to perform the work described in this Section 1.9, it shall pass a general ordinance in accordance with applicable state law and CITY procedures providing for removal of the traffic signal and closure of the median at the intersection of Keystone Parkway and 98th Street,leaving 98th Street with right-in/right-out access to Keystone Parkway in both the northbound and southbound lanes. The general ordinance must be passed and effective no later than December 31, 2013. After the ordinance is in place, INDOT shall remove the signal, close the median at the intersection of Keystone Parkway and 98th Street, and provide right-in/right-out access to Keystone Parkway at 98` Street. If, for any reason, the CITY does not pass an adequate general ordinance by December 31, 2013, then INDOT shall not remove the traffic signal and close the median at the intersection of Keystone Parkway and 98th Street, and INDOT shall have no further obligation or responsibility under this Section. 1.10. Payment. INDOT shall make the one-time lump sum cash payment described in Section 1.8 of this Agreement to the CITY within forty-five (45) days of receipt of an invoice from the CITY but in no event before this Agreement is fully executed and approved by the Office of the Attorney General.Payment shall be made in accordance with Section 2.14 of the Agreement. 1.11. Funding of the U.S. 31 Project. Nothing in this Agreement shall be deemed to restrict INDOT's ability to manage available funding sources in providing funds for the U.S. 31 Project or portions thereof described in this Agreement. 1.12. Public Statements or Disclosures. The Parties shall consult with each other and must agree as to the timing, content, and form before issuing any press release or other public statements or disclosures related to the U.S. 31 Project or this Agreement. However, this Section does not prohibit either of the Parties from making a public statement or disclosure regarding this Agreement or the U.S. 31 Project if, in the opinion of its legal counsel, such a disclosure is required by law, including but not limited to Indiana's Access to Public Records Act(IC 5-14-3), legal process or directive of a regulatory authority having jurisdiction over either party. -4- FINAL VERSION FOR EXECUTION—9/12/2012 II.GENERAL PROVISIONS 2.1. Access to Records. The CITY shall maintain any and all books, documents, papers, correspondence, accounting records and other evidence pertaining to this Agreement, and shall make such materials available at their respective offices at all reasonable times during the period of this Agreement and for ten (10) years from the date of final payment under the terms of this Agreement, for inspection or audit by INDOT,or its authorized representative, and copies thereof shall be furnished free of charge, if requested by INDOT. The CITY agrees that, upon request by any agency participating in federally-assisted programs with whom the CITY has agreed to or seeks to agree to,INDOT may release or make available to the agency any working papers from an audit performed by INDOT of the CITY in connection with this Agreement, including any books, documents, papers, accounting records and other documentation which support or form the basis for the audit conclusions and judgments 2.2. Audit. The CITY acknowledges that it may be required to submit to an audit in connection with this Agreement. Any such audit shall be conducted in accordance with IC 5-11-1,et.seq.and audit guidelines (including applicable provisions of the Office of Management and Budget Circulars A-133,Audits of States,Local Governments, and Non-Profit Organizations)specified by the State and/or in accordance with audit requirements specified elsewhere in this Agreement. 2.3. Authority to Bind CITY. The signatory for the CITY warrants that he/she has the necessary authority to enter into this Agreement. The signatory for the CITY represents that he/she has been duly authorized to execute this Agreement on behalf of the CITY, and has obtained all necessary or applicable approval to make this Agreement fully binding upon the CITY when his/her signature is affixed to this Agreement. 2.4. [Reserved.] 2.5. Compliance with Laws. A. The CITY shall comply with any applicable federal, state and local laws, rules, regulations and ordinances, and all provisions required thereby to be included herein are hereby incorporated by reference. The enactment of any state or federal statute, or the promulgation of regulations thereunder, after execution of this Agreement shall be reviewed by INDOT to determine whether formal modifications are required to the provisions of this Agreement. B. The CITY and its agents shall abide by all ethical requirements that apply to persons who have a business relationship with the State, as set forth in Indiana Code § 4-2-6, et seq., Indiana Code § 4-2-7, et. seq., the regulations promulgated thereunder, and Executive Order 05-12,dated January 12, 2005. If the CITY is not familiar with these ethical requirements, the CITY should refer any questions to the Indiana State Ethics Commission, or visit the Indiana State Ethics Commission website at <<http://www.in.gov/ethics/>>>. If the CITY or its agents violate any applicable ethical standards, the State may, at its sole discretion, terminate this Agreement immediately upon notice to the CITY. In addition, the CITY may be subject to penalties under Indiana Code §§ 4-2-6 and 4-2-7,and under any other applicable state or federal laws. -5- i ■ } FINAL VERSION FOR EXECUTION---9/12/2012 I I C. The CITY certifies by entering into this Agreement, that it is not presently in arrears in E payment of any permit fees or other statutory, regulatory or judicially required payments to the i State of Indiana. 1 7 D. [Reserved.] i 2.6. Drug-Free Workplace Certification. The CITY hereby covenants and agrees to make a I good faith effort to provide and maintain a drug-free workplace,and that it will give written notice to the Indiana Department of Transportation and the Indiana Department of Administration within ten(10)days after receiving actual notice that an employee of the CITY in the State of Indiana has been convicted of a criminal drug violation occurring in the CITY's workplace. False certification or violation of the certification may result in sanctions including,but not limited to,suspension of Agreement payments,termination of the Agreement and/or debarment of contracting opportunities with the State of Indiana for up to three(3)years. I In addition to the provisions of the above paragraphs, if the total Agreement amount set forth in this Agreement is in excess of$25,000.00,the CITY hereby further agrees that this Agreement is ! expressly subject to the terms,conditions and representations of the following certification: This certification is required by Executive Order No. 90-5, April 12, 1990, issued by the Governor of Indiana. Pursuant to its delegated authority, the Indiana Department of Administration is requiring the inclusion of this certification in all agreements with and grants from the State of Indiana in excess of$25,000.00. No award of an agreement shall be made, and no purchase order or agreement, the total amount of which exceeds $25,000.00, shall be valid, unless and until this certification has been fully executed by the CITY and made a part of the agreement as part of the executed contract. The CITY certifies and agrees that it will provide a drug-free workplace by: a. Publishing and providing to all of its employees a statement notifying their employees 1 that the unlawful manufacture, distribution, dispensing, possession or use of a controlled substance is prohibited in the CITY 's workplace and specifying the actions that will be taken against employees for violations of such prohibition; b. Establishing a drug-free awareness program to inform its employees of(1)the dangers of drug abuse in the workplace;(2)the CITY's policy of maintaining a drug-free workplace; (3) any available drug counseling, rehabilitation, and employee assistance programs; and (4) the penalties that may be imposed upon an employee for drug abuse violations occurring in the workplace; 4 c. Notifying all employees in the statement required by subparagraph (a) above that as a condition of continued employment the employee will (1) abide by the terms of the statement; and (2)notify the CITY of any criminal drug statute conviction for a violation occurring in the workplace no later than five(5)days after such conviction; ■ 1 i -6- FINAL VERSION FOR EXECUTION—9/12/2012 d. Notifying in writing the State within ten (10) days after receiving notice from an { employee under subdivision (c)(2) above, or otherwise receiving actual notice of such conviction; e. Within thirty (30) days after receiving notice under subdivision (c)(2) above of a conviction, imposing the following sanctions or remedial measures on any employee who is convicted of drug abuse violations occurring in the workplace: (1) take appropriate personnel action against the employee, up to and including termination; or (2) require such employee to satisfactorily participate in a drug abuse assistance or rehabilitation program approved for such purposes by a federal, state or local health, law enforcement, • or other appropriate agency; and f. Making a good faith effort to maintain a drug-free workplace through the implementation of subparagraphs (a)through(e)above. 2.7. [Reserved.] 2.8. Force Majeure. In the event that either Party is unable to perform any of its obligations under this Agreement or to enjoy any of its benefits because of natural disaster or decrees of governmental bodies not the fault of the affected Party (hereinafter referred to as a Force Majeure • Event), the Party who has been so affected shall immediately give notice to the other Party and shall do everything possible to resume performance. Upon receipt of such notice, all obligations under this Agreement shall be immediately suspended. If the period of nonperformance exceeds thirty (30) days from the receipt of notice of the Force Majeure Event, the Party whose ability to perform has not been so affected may,by giving written notice,terminate this Agreement. 2.9. Funding Cancellation Clause. When the Director of the Office of Management and Budget makes a written determination that funds are not appropriated or otherwise available to support continuation of the performance of this Agreement,this Agreement shall be canceled. A determination by the Budget Director that funds are not appropriated or otherwise available to support continuation of performance shall be final and conclusive. 2.10. Governing Laws. This Agreement shall be construed in accordance with and governed by the laws of the State of Indiana and the suit, if any,must be brought in the State of Indiana. 2.1 1. Hold Harmless. The CITY agrees to exculpate and hold harmless the State of Indiana, INDOT, and their officials and employees from any liability due to loss,damage, injuries,or other causalities of whatever kind, or by whosoever caused,to the person or property of anyone arising out of, or resulting from the performance of this Agreement or the work connected therewith, or from the installation, existence, use, maintenance, condition, repairs, alteration or removal of any equipment or material, including any claims arising out the Worker's Compensation Act or any other law,ordinance,order or decree. INDOT shall not provide indemnification to the CITY. _- The CITY agrees to pay all reasonable expenses and attorney's fees incurred by or imposed on the State and INDOT in connection herewith in the event that the CITY shall default under the provisions of this Section. -7- FINAL VERSION FOR EXECUTION—9/12/2012 3 { 2.12. Non-Discrimination. A. Pursuant to I.C. 22-9-1-10 and the Civil Rights Act of 1964, the CITY, shall not discriminate against any employee or applicant for employment, to be employed in the performance of work under this Agreement, with respect to hire, tenure, terms, conditions or privileges of employment or any matter directly or indirectly related to employment, because of race, color, religion, sex, disability,national origin, ancestry or status as a veteran. Breach of this covenant may be regarded as a material breach of this Agreement. Acceptance of this Agreement also signifies compliance with applicable federal laws, regulations, and executive orders prohibiting discrimination in the provision of services based on race, color, national origin, age, sex,disability or status as a veteran. B The CITY understands that INDOT is a recipient of federal funds. Pursuant to that understanding,the CITY agrees that if the CITY employs fifty(50)or more employees and does at least $50,000.00 worth of business with the State and is not exempt, the CITY will comply with the affirmative action reporting requirements of 41 CFR 60-1.7. The CITY shall comply with fi Section 202 of executive order 11246, as amended, 41 CFR 60-250, and 41 CFR 60-741, as amended, which are incorporated herein by specific reference. Breach of this covenant may be regarded as a material breach of Agreement. It is the policy of INDOT to assure full compliance with Title VI of the Civil Rights Act of 1964 and related statutes and regulations in all programs and activities. Title VI and related statutes require that no person in the United States shall on the grounds of race, color or national origin be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance. (INDOT's Title VI enforcement shall include the following additional grounds: sex, ancestry, age, religion and disability.) The following are examples of where this policy shall be applied relative to the INDOT. C. The CITY shall not discriminate in its selection and retention of contractors, including without limitation, those services retained for, or incidental to, construction,planning, research, engineering, property management, and fee contracts and other commitments with persons for services and expenses incidental to the acquisitions of right-of-way. D. The CITY shall not modify the Project in such a manner as to require, on the basis of race, color or national origin,the relocation of any persons. (INDOT's Title VI enforcement will include the following additional grounds;sex,ancestry,age,religion and disability). li E. The CITY shall not modify the Project in such a manner as to deny reasonable access to and use thereof to any persons on the basis of race, color or national origin. The CITY shall neither allow discrimination by contractors in their selection and retention of subcontractors, leasors and/or material suppliers, nor allow discrimination by their subcontractors in their selection of subcontractors, leasors or material suppliers, who participate in construction,right-of-way clearance and related projects. Li G. INDOT shall take appropriate actions to correct any deficiency determined by itself and/or the Federal Highway Administration ("FHWA") within a reasonable time period, not to exceed ninety(90)days, in order to implement Title VI compliance in accordance with INDOT's 1. assurances and guidelines. 2.13. Payment. All payments shall be made according to the terms of this Agreement and in conformance with State fiscal policies and procedures and, as required by IC 4-13-2-14.8, by electronic funds transfer to the financial institution designated by the CITY in writing unless a specific waiver has been obtained from the Indiana Auditor of State.No payments will be made in advance of receipt of the goods or services that are the subject of this Agreement except as permitted by IC 4-13-2-20. The invalidity of any section, subsection, clause or provision of this Agreement shall not affect the validity of the remaining sections,subsections,clauses or provisions of this Agreement. 2.17. This Agreement represents the entire understanding between the Parties relating to the subject matter, and supersedes any and all prior oral and/or written communications, understandings or agreements relating to the subject matter.
