C LEA NI NG- 17 770 8042 CLEANING CONTRACT AGREEMENT This Agreement,dated January 7,2009 is made between SERVICE FIRST CLEANING,INC("SFC")and CARMEL REDEVELOPMENT COMMISSION ("CLIENT"). Both SFC and CLIENT agree that SFC will begin service on with the following terms and conditions. CLIENT agrees to contract SFC to perform services according to the outlined cleaning schedule enclosed: Service shall be performed at the following location. CLIENT: CARMEL REDEVELOPMENT COMMISSION ADDRESS: 30 W. Main Street Suite 220 CARMEL, IN 46032 PHONE: (317)571-2787 FAX: (317)571-2789 I. CLIENT agrees to contract SFC to perform cleaning. 2. CLIENT agrees to verbally notify SFC of any non-performance prior to written notification. 3. CLIENT agrees to pay SFC the total sum of the monthly billing amount for the contracted fixed frequency services on or before the last day of each month for services rendered;and to pay `Net 15'for all other(optional and special requests)services. If payment is not made in compliance with the Pricing Schedule on a monthly basis, CLIENT will be given a thirty(30) day grace period after which a late charge calculated at 1 1/2%per month shall be charged to client. 4. Credits for recognized holidays were pre-determined and given as part of the monthly charge herein, and no other adjustments will be made for those holidays which include Thanksgiving Day,Christmas Day,New Years Day,Memorial Day, 4's of July and Labor Day. s. CLIENT agrees that within ninety(90)days after termination of this agreement,CLIENT will not employ directly or indirectly any employees,agents or representatives of SFC. 6. For the first ninety(90)days from the service begin date of agreement CLIENT agrees to monthly terms.This agreement will then begin a term of one(1)year from service date, and shall be automatically renewable on the anniversary date, with the same terms and conditions, unless either party shall give written notice of termination,at least thirty(30)days prior to said anniversary date.This notice can be sent via email, first class mail or facsimile. If timely notice is given for termination,this Agreement shall expire at midnight of the anniversary date. Otherwise,this agreement may be terminated for non-performance only. - -CLEANING' - 770 0042 7. Nonperformance is defined as failure,neglect or refusal to perform any act stipulated under this Agreement. This includes failure to appear for performance of cleaning services,and incomplete cleaning services such as failure to abide by the Cleaning Schedule. Non-performance as defined by breach of security or theft may result in termination with 30 days written notice. 8. The terminating party must give the other party written notice specifying in detail the nature of any defect in performance. The non-terminating party shall have thirty(30)days to cure,to the reasonable satisfaction of the terminating party. If satisfaction is not achieved at the end of the thirtieth(30)day,the terminating party shall notify the non-terminating party in writing of failure to cure,and the agreement shall terminate thirty(30)days from the date of said notice. All written notices must be timely and be delivered via certified mail, facsimile,or email. In the event CLIENT terminates this agreement for any reason other than non-performance,CLIENT agrees to pay SFC as liquidated damages an amount equal to the monthly charge stated in the Pricing Agreement. (Liners to be furnished by client) > Vacuum all carpet runners > Clean, polish and disinfect drinking fountains • Thoroughly dust accessible horizontal & vertical surfaces, including desktops, files, windowsills, chairs, tables and pictures. > Damp wipe all accessible horizontal surfaces to remove coffee rings and spillage as needed. > Dust mop hard surface floors with a treated dust mop. > Damp mop hard surface floors to remove any spillage from soiled areas > Damp wipe entrance metal and fingerprints on entrance glass. > Spot clean all partition glass. LUNCH ROOMS& BREAK ROOMS > Empty trash receptacles,and remove trash to a collection point. (Liners to be furnished by client) > Clean interior and exterior of microwave oven. > Dust mop hard surface floors. • Damp mop hard surface floors with a disinfectant. 770 3042 WEEKLY CLEANING SCHEDULE Entries,Lobbies,Offices,Martial Arts Studio ➢ Dust all vertical surfaces of desks, file cabinets,chairs,tables and other office furniture. ➢ Thoroughly vacuum all carpeting taking care to get into corners,along edges and beneath furniture ➢ Thoroughly damp mop all hard surface floors,taking care to get into corners,along edges and beneath furniture. ➢ Spot clean exterior of refrigerator and vending machines(if applicable). ➢ Dust telephones. ➢ Dust all exposed horizontal surfaces, including tables,counter tops, chairs and windowsills. MONTHLY CLEANING SCHEDULE Entries, Lobbies,Offices,Martial Arts Studio ➢ Accomplish all high/low dusting(below 8 feet)not reached in the above mentioned cleaning including blinds, vents and baseboards. ➢ Remove fingerprints and marks from around light switches and doorframes. ➢ Damp wipe telephones using a disinfectant.
