REF: LETTER OF ENGAGEMENT FOR CONSULTING SERVICES
Dear Mr. Olds:
This letter is intended to confirm the services that will be performed by Shiel Sexton
Company ( "Consultant ") for the Carmel Redevelopment Commission ( "CRC ").
Consultant and CRC agree as follows:
1. Consultant agrees to make Pam Lohman available to provide part-time
services for a period of six (6) to eight (8) weeks beginning the week of August 8, 2005.
2. Consultant will perform work at the sole direction of the Director of the
CRC. Work shall include but is not entirely limited to processing invoices for payment,
updating and maintaining the monthly Budget, working with staff to prepare for CRC
Board meetings, working with other CRC consultants on real estate and bond issues and
performing services that will assist the CRC in carrying out its functions as the
redevelopment Commission of the City of Cannel.
3. Consultant shall have no authority to make commitments on behalf or bind
the CRC in any manner.
4. Consultant understands and agrees that, in the course of providing
consulting services to the CRC, she might acquire certain confidential information.
Consultant agrees that such information will be kept confidential at all times and will not
make use of the infornation for her own behalf or the behalf of a third party.
5. Consultant shall receive Sixty Dollars (60.00) per hour for consulting
services. Consultant shall be reimbursed for related costs to include, but not limited to,
materials /supplies, photocopying and reasonable traveling /mileage /parking. Invoices
shall be submitted monthly for services and expenses. CRC shall pay Consultant within
30 days.

6. CRC will refrain from negotiating with or hiring existing employees of
Consultant during the duration of this Agreement and for a period of one (1) year
thereafter.

CRC.
