Wetland Mitigation Credit Purchase/ENG/50,250/Buck Creek Site Wetlands Mitigation Credit Purchase Agreement THIS WETLANDS MITIGATION CREDIT PURCHASE AGREEMENT (this "Agreement") is made as of this /O 'day of ca.. '‘./ 2013, by and between CENTRAL INDIANA MITIGATION PROVIDERS, LLC ("Seller") and THE CITY OF CARMEL, INDIANA ("Purchaser" or the"City"), and collectively referred to herein as"Party"or"Parties". RECITALS WHEREAS, Seller is the owner of certain property more particularly shown and described in Exhibit A (attached to this Agreement and herein incorporated by reference), on which Seller operates wetlands mitigation sites known as the Central Indiana Mitigation Bank and the Buck Creek Bank (the "Mitigation Sites"); and WHEREAS, the establishment, use, operation and maintenances of the Mitigation Sites are subject to the requirements of that certain Central Indiana Wetland Mitigation Bank Banking Instrument ("MBI") approved by the Mitigation Bank Review Team on March 9, 2009, and Buck Creek Mitigation Bank Banking Instrument ("MBI") approved by the Mitigation Bank Review Team on April 23, 2012, as attached hereto at Exhibit B; and WHEREAS, pursuant to the requirements of the Clean Water Act (codified at 33 U.S.C. § 1251 et. seq.) and regulations promulgated there under, Purchaser must mitigate for impacts to 0.58 acres of emergent wetlands and .03 acres forested wetlands on certain property commonly known as Illinois Street Extension located in the City of Carmel, Hamilton County, Indiana("the Development Impacts"); and WHEREAS, Seller desires to sell, and Purchaser desires to buy, .67 acres of emergent wetland bank credits and 0 forested wetland bank credits (" Purchased Credits") generated from the Mitigation Sites to mitigate the Development Impacts, as more particularly set forth herein; and NOW, THEREFORE, in consideration of the promises and the mutually dependent covenants contained herein and other good and valuable consideration, the adequacy and receipt of which is hereby acknowledged, and intending to be legally bound, Seller and Purchaser agree to the following terms and conditions: AGREEMENT 1. Sale of Credits. Subject to the terms of this Agreement, Seller agrees to sell, assign, convey and transfer to Purchaser, and Purchaser agrees to purchase from Sellerthe Purchased Credits generated from the Mitigation Sites, solely to mitigate for the Development Impacts. The Parties acknowledge that the Section 404 permit process, and, if necessary, the Section 401 certification process under the Clean Water Act must be completed prior to the Closing(defined in Section 3 of this Agreement) and agree that this Agreement may be used to document Purchaser's mitigation plan for its Development Impacts. Purchaser covenants to diligently pursue, if applicable, Indiana Department of Environmental Management ("IDEM") approval of Purchaser's mitigation plan for its Development Impacts. 2. Purchase Price. The purchase price for each Purchased Credit shall be Seventy Five Thousand Dollars ($75,000.000), for a total Purchase Price of Fifty Thousand Two Hundred Fifty Dollars ($50, 250.00) (the "Purchase Price") and shall include all costs associated with monitoring and 1 maintaining the wetlands comprising the Mitigation Sites, preparing and/or recording such instruments as may be necessary to confirm the sale and allocation of the Mitigation Sites to Purchaser and preparing such annual monitoring reports as may be required to document the continued viability of the wetlands comprising the Mitigation Sites. The Purchase Price shall be payable as follows: A. Deposit. Purchaser shall, within sixty (60) days of the full execution of this Agreement, deliver to Seller a deposit in the amount of Twenty Five Thousand One Hundred Twenty Five Dollars ($25,125.00) ("Deposit"). The Deposit paid by Purchaser, shall, except as otherwise provided herein, be non-refundable and shall he applied toward the Purchase Price at Closing. B. Balance of Purchase Price. Purchaser shall pay the remaining balance of the Purchase Price to Seller in at Closing. 3. Closing. Closing on the purchase and sale of the Purchased Credits ("the Closing") shall be held electronically or at a location as is reasonably acceptable to Purchaser and Seller. The Closing shall occur not more than fifteen (15) days from Purchaser's receipt of written confirmation from the Army Corps of Engineers ("Corps"), and, if applicable, IDEM, approving mitigation of the Development Impacts through purchase of the Credits, or such other date as the Parties may otherwise agree in writing prior to the Closing. Notwithstanding any provision of this Agreement to the contrary, the Closing shall occur no later than twelve (12) months from the full execution of this Agreement. If the Closing does not occur within twelve months from the full execution of this Agreement, Seller, in its sole discretion, may terminate this Agreement without any rights, obligations or liability to Purchaser whatsoever, and, effective upon such termination, Purchaser shall forfeit the Deposit and Seller shall be entitled to retain the Deposit. 4. Seller's Deliveries. A. At Closing, Seller shall deliver to Purchaser a bill of sale, in proper form, evidencing the sale of the Purchased Credits to Purchaser. B. Not more than ten (10) calendar days following Closing, Seller shall deliver, or cause to be delivered, to Purchaser a copy of Seller's ledger entry, or other documentation in a form satisfactory to the Parties, recording the sale of the Credits to Purchaser as provided herein and debiting the Credits sold to Purchaser against the outstanding Credits in accordance with the MBIs. 5. Closing Costs. Seller shall pay the cost of preparing the bill of sale, any taxes and costs customarily paid by sellers, and Seller's attorney's fees. Purchaser shall pay the cost of any inspections and investigations, any costs customarily paid by purchasers, Purchaser's attorney's fees and other costs of Closing, if any, except as otherwise provided by law. 6. Effect on Condemnation, Regulatory Action or Force Majeure. A. Condemnation. If the Mitigation Site or any part thereof is taken pursuant to eminent domain proceedings prior to Closing, or if such proceedings are commenced prior to Closing, and as a result the Seller determines that it will be unable to transfer the Purchased Credits to Purchaser at Closing as specified in the agreement, then either Party may terminate this Agreement by providing written notice thereof to the other at any time prior to Closing. If either Party elects to terminate this Agreement as provided in this subsection, the Deposit 2 shall be refunded to Purchaser and neither Party shall have any further rights or obligations hereunder, except as expressly provided herein. B. Regulatory Action. (i) If Seller is unable to transfer the Purchased Credits to Purchaser as provided in this Agreement as a result of the final action or final order of any regulatory agency, including any final action or order failing to approve of the Mitigation Site or to the release of Credits, regardless of whether or not Seller has contested or challenged such action or order, either Party may terminate this Agreement by providing written notice to the other Party at any time prior to Closing. If either Party elects to terminate this Agreement as provided in this subsection, the Deposit shall be refunded to Purchaser and neither Party shall have any further rights or obligations hereunder, except as expressly provided herein. (ii) If Purchaser is prevented by any final act or order of a regulatory agency with authority over the Purchaser's Developmental Impacts, from acquiring the Purchased Credits from Seller as provided in this Agreement, or if Purchaser's mitigation plan for its Development Impacts is not approved pursuant to a final action or final decision of the regulatory agency, despite Purchaser's diligent efforts, either Party may terminate this Agreement by providing written notice to the other Party at any time prior to Closing. If either Party elects to terminate this Agreement as provided in this subsection, the Deposit shall be refunded to Purchaser and neither Party shall have any further rights or obligations hereunder, except as expressly provided herein. 7. Mitigation Site Regulatory Requirements. Seller shall comply with the terms and conditions of the MBIs, this Agreement and all State and federal statutes, regulations and requirements applicable to the operation, management and maintenance of the Mitigation Site, and shall pay all taxes owed by the Mitigation Site or assessed against the Mitigation Site ("Mitigation Site Regulatory Requirements"). 8. Limitations on Purchaser's Rights. Seller's sale and conveyance of the Purchased Credits to Purchaser shall not constitute the conveyance or transfer of any right, interest or ownership in real property, nor shall such sale and conveyance impose upon Purchaser any right, obligation, duty or liability arising from or incident to any right, interest or ownership in real property. 9. Representation and Warranties. Each Party represents and warrants to the other Party now and as of Closing that: A. It is duly organised and validly existing under the laws of the jurisdiction of its organization or incorporation; B. It has the power to execute this Agreement and any other documentation relating to this Agreement to which it is a party, to deliver this Agreement and any other relevant documentation and to perform its obligations under this Agreement, and has taken all necessary action to authorize such execution, delivery and performance; C. With the exception of Seller's not having obtained, as of the date of this Agreement, final regulatory approval to release the Credits, it has obtained all licenses, authorizations, consents and exemptions necessary to have been obtained with respect to this Agreement and for the performance of its obligations under this Agreement, and all such licenses, authorizations, consents and exemptions are in full force and effect and, as of Closing, there 3 shall be no outstanding condition precedent to such Party's performance of its obligations under this Agreement, or any such conditions shall be satisfied. D. The entry into and observance and performance of its obligations under this Agreement do not violate or conflict with or require any consent or waiver (which has not heretofore been obtained, except as set forth in Paragraph I of this Agreement, under any of the terms or conditions in its governing documents or any contract to which it is a party or by which any of its assets are bound or affected, or any applicable law; and E. Its obligations under this Agreement constitute legal, valid and binding obligations, enforceable in accordance with their respective terms by an appropriate legal remedy. 10. Default. A. By Purchaser. Purchaser shall be deemed to be in default upon the occurrence of any of the following events: (i) if any representation or warranty provided herein proves to have been misleading or false in any material respect when made or as of Closing, (ii) if Purchaser fails to perform any material obligation under this Agreement (except as otherwise expressly provided under Section 6. B (ii) of this Agreement), including failure to make any payment required hereunder within the time required therein (excluding delays in processing payment that are beyond the Purchaser's control and except as otherwise provided in Section 23 of this Agreement), or (iii) if Purchaser fails to diligently pursue, if applicable, any regulatory, federal, state, governmental or other required approval of Purchaser's mitigation plan for its Development Impacts. Upon such default by Purchaser: (i) Seller shall have the right to terminate this Agreement and all of its obligations hereunder, and effective upon any such termination, Purchaser shall forfeit the Deposit and Seller shall be entitled to retain the Deposit; (ii) at Sellers's election, Purchaser shall lose all of its right and privilege to purchase the Credits from Seller; (iii) Seller shall notify, if applicable, IDEM, of Purchaser's failure to fulfill its obligations under this Agreement and (iv) if such default occurs subsequent to Closing (or is discovered by Seller subsequent to Closing), Seller shall have the right to pursue such remedies as may be available to it at law or in equity. All rights and remedies of Seller hereunder shall be cumulative and not mutually exclusive of one another. B. By Seller. Seller shall be deemed to be in default upon the occurrence of any of the following events: (i) if Seller fails to perform any material obligations (except as otherwise expressly provided under Section 6. B (i) of this Agreement) under this Agreement, and such failure continues for a period of thirty days (30) days after Purchaser has provided written notice to Seller of such failure, or (ii) if any representation or warranty provided herein proves to have been misleading or false in any material respect when made or as of Closing. Upon such default by Seller: (i) if such default occurs prior to Closing, Purchaser's sole remedies shall be to terminate this Agreement by providing written notice thereof to Seller, and to receive a refund of the Deposit, in which event neither Party shall have any further rights or obligations hereunder, except as expressly provided herein; or (ii) if such default occurs subsequent to Closing (or is discovered by Purchaser subsequent to Closing), Purchaser shall have the right to pursue such remedies as may be available to it at law or in equity. 11. Limitation of Liability. IN THE EVENT OF A DEFAULT, THE DEFAULTING PARTY'S LIABILITY SHALL BE LIMITED TO DIRECT, ACTUAL DAMAGES ONLY, AND SUCH DIRECT ACTUAL DAMAGES SHALL BE THE SOLE AND EXCLUSIVE REMEDY HEREUNDER. IN NO EVENT SHALL ANY OTHER LIABILITY BE INCURRED BY EITHER 4 PARTY FOR ANY OBLIGATIONS WHICH ARISE UNDER THIS AGREEMENT, INCLUDING (BUT NOT LIMITED TO) CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR INDIRECT DAMAGES IN TORT, CONTRACT OR OTHERWISE. EXCEPT AS OTHERWISE PROVIDED UNDER THIS AGREEMENT, SELLER MAKES NO REPRESENTATION OR WARRANTY HEREUNDER REGARDING THE MERCHANTABILITY OF THE CREDITS OR WITH RESPECT TO THE CREDITS, ANY ACTION OR FAILURE TO ACT, OR APPROVAL OR FAILURE TO APPROVE, OF ANY GOVERNMENTAL AUTHORITY. 12. Term and Termination. This Agreement shall be effective upon the date that all signatures and approvals are obtained. This Agreement shall commence on the Effective Date and shall terminate upon Closing, unless earlier terminated pursuant to any other provision in this Agreement, including, but not limited to the following: This Agreement may be terminated as follows: A. In the event of default, this Agreement may be terminated by the non-defaulting party, in accordance with Section 10; B. Seller may terminate this Agreement in accordance with the provisions of Section3; C. Either party may terminate this Agreement in accordance with the provisions of Section 6; D. In the event of a Force Majeure Event, this Agreement may be terminated in accordance with the provisions of Section 36. 13. Access to Records. The Seller and its subcontractors, if any, shall maintain all books, documents. papers, accounting records, and other evidence pertaining to all costs incurred under this Agreement. They shall make such materials available at their respective offices at all reasonable times during this Agreement and for three (3) years from the date of final payment under this Agreement, for inspection by City or its authorized designees. Copies shall be furnished at no cost to City if requested. 14. Authority to Bind Seller. The signatory for the Seller represents that he/she has been duly authorized to execute this Agreement on behalf of the Seller and has obtained all necessary or applicable approvals to make this Agreement fully binding upon the Seller when his/her signature is affixed, and accepted by City. 15. Compliance with Laws. A. Seller shall comply with all applicable federal, state, and local laws, rules, regulations, codes and ordinances which may be applicable to Seller's performance of its obligations under this Agreement, and all provisions required thereby to be included herein are hereby incorporated by reference. The enactment or modification of any applicable state or federal statute or the promulgation of rules or regulations thereunder after execution of this Agreement shall be reviewed by City and Seller to determine whether the provisions of this Agreement require formal modification. Seller agrees to indemnify and hold harmless City from any loss, damage and/or liability resulting from any such violation of such laws, rules, regulations, codes and ordinances. B. Seller warrants that Seller and its subcontractors, if any, shall obtain and maintain all required permits, licenses, registrations, and approvals, and shall comply with all health, safety, and environmental statutes, rules, or regulations in the performance of work activities for the State. Failure to do so may be deemed a material breach of this Agreement and grounds for immediate termination and denial of further work with the State. C. As required by IC §5-22-16.5, Seller certifies that Seller is not engaged in investment activities in Iran. Providing false certification may result in the consequences listed in IC §5-22-16.5-14 5 including termination of this Agreement, denial of future state contracts, as well as an imposition of a civil penalty. 16. Disputes. Should any disputes arise with respect to this Agreement, Seller and City agree to act immediately to resolve such disputes. Time is of the essence in the resolution of disputes. 17. Employment Eligibility Verification. As required by IC §22-5-1.7, the Seller swears or affirms under the penalties of perjury that: A. The Seller does not knowingly employ an unauthorized alien. B. The Seller shall enroll in and verify the work eligibility status of all his/her/its newly hired employees through the E-Verify program as defined in IC §22-5-1.7-3. The Seller is not required to participate should the E-Verify program cease to exist. Additionally, the Seller is not required to participate if the Seller is self-employed and does not employ any employees. C. The Seller shall not knowingly employ or contract with an unauthorized alien. The Seller shall not retain an employee or contract with a person that the Seller subsequently learns is an unauthorized alien. D. The Seller shall require his/her/its subcontractors who perform work under this Agreement to certify to the Seller that the subcontractor does not knowingly employ or contract with an unauthorized alien and that the subcontractor has enrolled and is participating in the E-Verify program. The Seller agrees to maintain this certification throughout the duration of the term of a contract with a subcontractor. Purchaser may terminate for default if the Seller fails to cure a breach of this provision no later than thirty (30) days after being notified by Purchaser. 18. Funding Cancellation. When the City makes a written determination that funds are not appropriated or otherwise available to support continuation of performance of this Agreement, this Agreement shall be canceled. A determination by the City that funds are not appropriated or otherwise available to support continuation of performance shall be final and conclusive. 19. Governing Laws. This Agreement shall be construed in accordance with and governed by the laws of the State of Indiana and suit, if any, must be brought in the State of Indiana. 20. Indemnities. Seller shall indemnify, defend and hold harmless Purchaser and Purchaser's authorized successors and assigns from and against any action, order, investigation or proceeding initiated by any government agency and arising from or based upon Seller's failure to comply with any MBIs Regulatory Requirements. Seller's duty to indemnify Purchaser under this Section shall survive Closing or earlier termination of this Agreement. The Purchaser shall not provide such indemnification to the Seller. 21. Licensing Standards. Seller and all of its Partners shall comply with all applicable licensing standards, certification standards, accrediting standards and any other laws, rules or regulations governing services to be provided by Seller pursuant to this Agreement. Purchaser shall not be required to pay Seller for any services performed if Seller or any of its Partners are not in compliance with such applicable standards, laws, rules or regulations. If licensure, certification or accreditation expires or is revoked, or if disciplinary action is taken against the applicable licensure, certification, or accreditation, Seller shall notify Purchaser immediately and Purchaser, at its option, may immediately terminate this Agreement. 6 22. Non-Discrimination. Seller represents and warrants that it and all of its officers, employees, agents, contractors and subcontractors shall complay with all laws of the United States, the State of Indiana and City prohibiting discrimination against any employee, applicant for employment or subcontracting, because of race, religion, color, sex, handicap, national origin, ancestry, age, disabled veteran status and/or Vietnam era veteran status. 23. No Joint Venture. This Agreement is made solely for the purposes set forth herein and no joint venture, partnership or other relationship between Purchaser and Seller is created hereby. 24. No Third-Party Beneficiary. This Agreement gives no rights or benefits to anyone other than Purchaser and Seller. 25. Non-Assignment. Seller shall not assign or pledge this Agreement, whether as collateral for a loan or otherwise, and shall not delegate its obligations under this Agreement without the Purchaser's prior written consent. 26. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Seller and Purchaser with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 19 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest, if applicable. 27. No Implied Waiver. The failure of either party to require performance by the other of any provision of this Agreement shall not affect the right of such party to require such performance at any time thereafter, nor shall the waiver by any party of a breach of any provision of this Agreement constitute a waiver of any succeeding breach of the same or any other provision hereof. 28. Purchaser will in good faith perform its required obligations hereunder and does not agree to pay any penalties, liquidated damages, interest, or attorney's fees, except as required by Indiana law, in part, IC 5-17-5, IC 34-54-8, IC 34-13-1. 30. Severability. The invalidity of any section, subsection, clause or provision of this Agreement shall not affect the validity of the remaining sections, subsections, clauses or provisions of this Agreement. 31. Taxes. Purchaser is exempt from state, federal, and local taxes. Purchaser will not be responsible for any taxes levied on Seller as a result of this Agreement. 32. Waiver of Rights. No right conferred on either party under this Agreement shall be deemed waived, and no breach of this Agreement excused, unless such waiver or excuse is in writing and signed by the party claimed to have waived such right. NeithcrPurchaser's review, approval or acceptance of, nor payment for, the services required under this Agreement shall be construed to operate as a waiver of any rights under this Agreement or for any cause of action arising out of the performance of this Agreement, and Seller shall be and remain liable to Purchaser in accordance with applicable law for all damages to Purchaser caused by Seller's negligent performance of any services furnished under this Agreement. 33. Force Majeure. In the event that any Party is unable to perform any of its obligations under this Agreement or to enjoy any of its benefits because of natural disaster including Acts of God, actions or decrees of governmental bodies, communication line failure not the fault of the affected Party, or other causes beyond its control (hereinafter referred to as a "Force Majeure Event"), the Party who has been so affected shall immediately give notice to other Parties and shall do everything possible to resume performance. Upon receipt of such notice, all obligations under this Agreement shall be immediately suspended. If the period of nonperformance exceeds sixty (60) days from the receipt of such notice of the Force Majeure Event, the Party whose ability has not been so affected may be given notice to terminate this Agreement. 34. Survival. The obligations of the Parties under Sections 7, 8, 11, 15 and 25 of this Agreement shall survive expiration or termination of this Agreement. 8 Non-Collusion and Acceptance The undersigned attests, subject to the penalties for perjury, that the undersigned is the Seller, or that the undersigned is the properly authorized representative, agent, member or officer of the Seller. Further, to the undersigned's knowledge, neither the undersigned nor any other member, employee, representative, agent or officer of the Seller, directly or indirectly, has entered into or been offered any sum of money or other consideration for the execution of this Contract other than that which appears upon the face hereof.
