ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and C=,..m?- i-- I LI b i,a,_JA• nt c� �-J rngc� I Ns-z (the
"Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
1. That on behalf of Grantee, a not-for-profit corporation, I, __S=Frt( A • S 7
an authorized representative of Grantee, have applied for a City of Carmel
("Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit"A."
2. Grant Agreement. The City, after review and recommendation by the Mayor and by
the City Council, agrees to grant $ ja, 000.Cn to the Grantee for
the eligible costs of the project (the "Project") or services as described in Exhibits
"A" and "B" of this Agreement. The funds shall be used exclusively in accordance
with the provisions contained in this Agreement.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not-for-profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.
5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.

B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
(EXHIBIT B);
3. Certified copies of incorporation as a not-for-profit corporation under state law
(EXHIBIT C);
4. A not-for-profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not-for-profit corporation that is exempt from
Federal income tax(EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year IF Grantee received an Arts Grant
from the City of Carmel in the previous calendar year, pursuant to paragraph 7
® herein (EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
(3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Cannel, the State of Indiana, or their designees.
7. Year end review. Grantee agrees to provide the City of Cannel a year-end report
("Year End Report") for each year, describing how the grant was used and the impact
of the dollars received. This Grant award may not exceed one third(1/3) of Grantee's
combined contributed income, revenue of sales, and/or ticket revenue from the
previous year. If the Grant amount is in excess of sixty thousand dollars
($60,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the

grantee. Said review or audit shall be performed by a Certified Public Accountant
("CPA") who is neither an employee of Grantee nor a member of the Grantee's Board
of Directors, to be provided to the City of Carmel by March 31 of the following year.
8. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
9. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the State that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
10. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana or Federal law.
11. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program. Additionally, the Grantee is not required to participate if the
Grantee is self employed and does not employ any employees.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty(30) days after being notified by the State.
12. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.
13. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The

Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
14. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
15. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

Dear Mayor Brainard,
Central Indiana Dance Ensemble ("CIDE") completed another successful holiday run of
"The Nutcracker", our flagship event and a preeminent performance for ballet
organizations across Indiana. We will be presenting our concert performance, "Mixed
Rep" in March, 2013 at The Tarkington Theatre, performing the famous divertissement
"Pas de Qualre" as our opening act as well as various works from the Company's
• repertoire. On May 18t11, the Company will bring to life the full-length production of Peter
Pan on the stage of The Tarkington. All CIDE events are fully open to the public and over
the course of the year, performances will be held at a variety of locations across Carmel
and surrounding locations to encourage attendance enabling us to reach across the
community. We are honored to be a Resident Company with The Center for the Performing
Arts.
The end to the 2012-2013 season is Past approaching and plans are well underway for our
educational dance series this summer. This year we have a renowned master teacher
traveling from California to instruct dancers at the CIDE sponsored Summer Ballet
Intensive. CIDE's Summer Ballet Intensive is open to any dancer that is 10 years of age
and older, attendance is not limited to Company members. Dancers attending will
participate in one or two weeks of intense ballet technique training as well as
contemporary, modem and jazz instruction. This master teacher will remain here for an
additional week following the summer intensive to choreograph and set a piece on the
Company. Later in the summer, CIDE will be bringing in additional renowned master
teachers for 5 days of intense choreography, technique and instruction.
Central Indiana Dance Ensemble is a Carmel-based pre-professional Ballet Company.
Each year through a rigorous and selective audition process, approximately 50 to 60 youth
dancers between the ages of 10 and 18 are invited into the Company. On average, more
than 80% of these talented CIDE Company members are residents of Carmel and many
• have participated in local, regional and national ballet competitions. CIDE also provides
training and opportunities for our dancers to win dance scholarships at prestigious
universities and coveted dance programs across the United States. In recent years CIDE

0 has had three of its Company members awarded contracts with professional dance
companies.
Each season, CIDE has also been honored and privileged to be a part of Cannel's annual
Christmas tree lighting ceremony to play its part in providing an enlightening show for the
citizens of Carmel.
CIDE ended the 2012 calendar year in a strong yet.tenuous financial position and projects
similar trends for its current fiscal year, which ends June 30, 2013. Financial strength has
been a hallmark of our fourteen years of existence and is due in large part to our fiscal
discipline, as illustrated by the fact we have only three paid staff positions, including the
Artistic Director, Assistant to the Artistic Director and a Youth Company Director. These
positions are only filled on a part-time basis, with Suzann DeLay, Casey Clark and Ashley
Jones spending countless hours of training, rehearsal, and performance time which does not
translate to much of an hourly based salary. Suzann, Casey and Ashley work tirelessly
with CIDE's dancers, who themselves demonstrate a tremendous commitment during
classes and rehearsals meticulously preparing for each production performance and to
better their own dance abilities.
CIDE's success can also be attributed to literally hundreds of hours of volunteer work. We
consider ourselves extremely fortunate to have such a strong support network, including
dozens of volunteers who unselfishly dedicate hours of their valuable free time by helping
our annual performances run smoothly and spearheading our variety of fundraising
activities.
The final factor in CIDE's ability to exist and succeed as an organization is the loyal
support of our patrons and benefactors. These supporters enjoy attending our events and
generously provide contributions, grants, and scholarships to help fund our daily operating
activities and ensure the well being and development of our dancers by securing practice
space, supporting our Artistic Staff and Board, and engaging outside instructors and
choreographers from the national dance community. Continued rejuvenation of our artistic
portrayal and choreography of classical ballets ensures our dancers do not just maintain the
status quo but continually challenge their physical and mental strength and stamina to meet
the arduous requirements of national trainers, choreographers, and industry professionals.
These valuable support networks help make the community aware of CIDE and help us
fulfill our mission of providing cultural and educational enrichment to the Central Indiana
Community. CIDE was honored to receive a grant from the City of Carmel in 2012 to
recoup a portion of the cost of our summer programs last year. Regrettably, the grants we
have received in recent years are down. We continue with fundraising activities each
season however, revenue garnered from these activities has flattened. Also, we are unsure
that demand will be as strong for our upcoming events as it has been historically.
To that end we are looking to the City of Carmel for assistance in arts funding and are
asking that the City of Carmel consider a financial contribution of $19,825 as detailed in
the following pages to allow CIDE to rejuvenate its assets and continue funding its
operations in order to remain a vital part of Carmel's arts community as a premiere,
classical ballet performance option for Carmel residents. Our mission is to continually meet
the dance educational needs for local Carmel youth and other area youth interested in the
performing arts. Your assistance with funding our request will allow us to continue our
mission.

Suzann Siler DeLay received her early dance training in California with Deane and Barbara
Crockett, founders of The Sacramento Ballet. She went on to dance a variety of contemporary and
classical roles while a member of The Sacramento Ballet. She also had a brief career with Pacific
Northwest Ballet until injury forced her to retire. She has been fortunate to study with some of the
master teachers of our time such as Violette Verdy, Robert Barnett, Robert Joffley, Janet Reed, and
David Howard just to name a few. Suzann appeared in several musicals including Princess and the
Pea and Lir Abner. She has also appeared in several PBS specials in the California area.
0 Suzann has taught, choreographed and performed throughout the United Sates, including the
official School for Sacramento Ballet, and occasionally teaches for the Contemporary Dance
Department at Indiana University. She brings with her a vast knowledge of classical ballet and has
taught Ballet, Pointe, Variations and Pas de Deux to students ages six through adult. She also
specializes in a creative dance program for children ages three through six. She has been recognized
with numerous awards for choreography works in ballet and contemporary dance.
In 1999, Suzann founded the Central Indiana Dance Ensemble, which is successfully celebrating
their 14th season. Alumni of Central Indiana Academy of Dance have gone on to professional
careers with Ballet West, Dayton Ballet, Pacific Northwest Ballet, Nashville Ballet II, Nevada
Ballet, and North Carolina Dance Theatre. In addition many alumni have been accepted with
scholarships to top level summer intensives, residencies and universities.
In 2009, she opened Central Indiana Academy of Dance to provide pre-professional training for the
resident pre-professional company, Central Indiana Dance Ensemble, an honor company with
Regional Dance America. In 2012 Central Indiana Academy of Dance was awarded the Youth
American Grand Prix "Outstanding School" Award.
She has been honored by being on the cover of the December 2008 issue of Indianapolis Woman
and was invited and attended the National Teachers Weekend at the School of American Ballet in
2010. She currently is Vice President/Coordinator for the Mid-States Board of Directors of
Regional Dance America and she also serves on the Regional Dance America National Board.
Trained in Cecchetti and Russian techniques, she was a student of the Crockett's for many years
® and is dedicated to carrying on their teachings. Suzann is an ABT�i Certified Teacher, who has
successfully completed the MIT® Teacher Training Intensive in Primary through Level 3 of the
ABTOO National Training Curriculum.

Michael Casey Clark is originally from Fishers, Indiana, he started dancing at the age of 19. Casey attended
Ball State University graduating with a BS in Dance Performance with a minor in 'I heatre. While at Ball
State, he was encouraged to attend dance classes and audition for the Ball State Performing Dance Company
where he was accepted as an Apprentice. A year later he became a company member. While studying at Ball
State. he also performed with the Anderson Young Ballet Theatre, directed by Lou Ann Young. He received
0 many scholarships and was the first to receive the Lynette Jordan Schisla Scholarship.
At Ball State, Casey developed his choreography skills. He was one of several students to have their works
adjudicated and performed at the American College Dance Festival, representing Ball State. Casey also
choreographed many musicals at Ball State. '`Dancing at Laughnasa" was adjudicated and presented at the
American College Theatre Festival. He was also voted Best Student Choreographer.
Casey has studied and worked with many outstanding choreographers and master teachers including Gail
Gilbert (David Parsons Dance Company), Franciose Martinett(Joffrey Ballet), Sylvia Waters (Alvin Ailey),
Trinette Singleton (Joffrey Ballet), Luigi and Twyla Tharp,just to name a few.
Summer of 2003, Casey was accepted to the Glenda Brown Choreography Project in Austin, Texas,where he
worked with Margo Sappington. Casey attended this project as a choreographer where he was inspired to
create eight dances in thirteen clays.

Ashley began her formal ballet training at the age of 10 with her mother, Suzann DeLay, and was a founding
member of the Central Indiana Dance Ensemble. She has diversified her training and competed in many local
and national dance competitions in jazz, tap, lyrical and modern and was recognized with countless regional
and national awards. Prior to her senior year of high school she was selected to study at Butler University in
• their Gifted and l'alented Dance Program. Ashley graduated from Carmel High School in 2005 with an
academic honors diploma.
Ashley attended the University of Utah as a ballet major, and in her sophomore year she transferred to
Indiana University to study in the Contemporary Dance Program. While at IU she danced with The Ben
Munisteri Dance Company of New York City, Connie Denapoli from Paul Taylor Dance Company and The
Liz Lerman Dance Exchange of Washington D. C. In addition to performing, she was a featured
choreography in IU's "Hammer and Nail 2008'. She has choreographed for the Central Indiana Dance
Ensemble and in 2008 it was recognized at the Regional Dance America - MidStates Festival. In the spring of
2008. Ashley was awarded the Jane Fox Dance Scholarship from the Kinesiology Department at Indiana
University. Ashley has taught at many local studios, including Indiana University's Pre-College Dance
Program, and was an assistant teacher for the freshman dance major's modern class. Ashley graduated in
2009 from Indiana University with a Bachelor of Science in Dance Performance.
Ashley is an ART® Certified Teacher, who has successfully completed the ABTOO Teacher Training
Intensive in Primary through Level 3 of the ABT m National Training Curriculum.

Stepping Stones, which has since been performed by five ballet companies. Galena Summit was
voted Choreography of the Year by the Boston Globe. Her work Four World Songs won first place
in the Sarasota Ballet's 1996 Choreographic Competition. Her Scheherazade was a box office hit
for the Milwaukee Ballet and three other companies.
Most recently Kathryn received a Fulbright Fellowship for 2012 to stage her ballet Scheherazade
for the National Ballet of Bulgaria and teach choreography at New Bulgarian University. She also
received the Jewish Studies Grant from the Gallatin School of NYU for the second year in a row.
In theater she choreographed the hit rock musical Salvation with Bette Midler and Richard Gore,
and The Cherry Orchard with Meryl Streep and Raul Julia directed by Andrei Serban at Lincoln
Center. For her own company, The Kathryn Posin Dance Company,Ms. Posin has choreographed
over 50 works. The company has received support from the Guggenheim Foundation.the New
York State Council on the Arts,the National Endowment for the Arts, and the Jerome Robbins
Foundation.
In 1999, Ms. Posin conceived and designed the Joffrey/New School B.F.A. in Dance and was
named Founding Chair. She holds a master's degree from N.Y.U. and a B.A. in dance from
Bennington College. Ms. Posin teaches World Dance and The Art of Choreography at the Gallatin
School of New York University. In summer of 2011, she staged her work Stepping Stones for the
National Ballet of Bulgaria with support from Cultural Bridges Foundation and America for
