CRC/CPA Termination of Event Parking Agreement 1-1-13 Confirmation and Agreement
The City of Carmel Redevelopment Commission("CRC")and The Center for the Performing Arts,Inc.("CPA"),
• agree as follows:
WHEREAS,CRC and CPA entered into an Event Parking Agreement dated December 28,2010(the
"Agreement");
WHEREAS,CRC and CPA entered a Termination of Event Parking Agreement dated January 1,2013 (the
"Ternin'ation"),which Termination:(a)terminated the Agreement as of the date thereof;and(b)was intended to
terminate all obligations under the Agreement to be perfonned by CPA or CRC,including all payment obligations,
regardless of whether such obligations were overdue,currently due,or to become due(the"Obligations");
WHEREAS,CRC and CPA seek to clarify that,as of the date of the Termination:(a)all Obligations under the
Agreement to be performed by CPA and CRC,respectively,including all payment obligations,were performed,deemed
performed,or waived,and, in all cases,were terminated;and(b)any amounts unpaid and owing to CRC under the
Agreement as of the date of the Termination were to be retained by CPA as an additional operating subsidy;and
WHEREAS,the parties desire to enter into this Confirmation and Agreement, as follows:
NOW,THEREFORE,for good and valuable consideration,the receipt and sufficiency of which are
acknowledged hereby,CRC and CPA confirm and agree that,as of the date of Termination:(a)all Obligations to be
performed by CPA or CRC, including all payment obligations,regardless of whether the Obligations were overdue,
currently due,or to become due,were:(i)performed or deemed performed by CPA or CRC,respectively,and/or(ii)
waived by CRC and CPA,respectively;and(b)any amounts unpaid and owing to CRC under the Agreement as of the
date of the Termination were to be retained by CPA as an additional operating subsidy.
IN WITNESS WHEREOF,CRC and CPA have executed this Confirmation and Agreement.
